This position will be based either in Chicago, IL or New York, NY.
The Senior Counsel will be an integral member of the Legal and Compliance team, primarily focusing on Antares-led financing transactions for private-equity backed companies in the core to upper middle-market. Reporting to the Associate General Counsel, Transactions, the attorney in this position will be responsible for collaborating across all levels of the organization to provide legal advice both individually and together with other Legal and Compliance team members and outside counsel. The role requires the ability to thrive in a dynamic, fast-paced transactional environment while juggling multiple demands.
Provide wide-ranging, day-to-day advice to Antares deal teams and capital markets professionals on structuring, documenting and syndicating loans for clients across a range of industries
Assess and solve for legal and commercial risks
Assist in developing and maintaining form legal documentation, negotiation guidelines, transaction-related policies and procedures and business training
Support other key institutional initiatives, including related to the business’s CLO, asset management platform
Monitor legal developments affecting the loan market
Interface with and supervise outside counsel
Provide other in-house legal services as needed, including review of lease documentation, financing agreements, sourcing agreements and other commercial contracts
Qualifications and Requirements
Bachelor’s Degree, J.D. and bar admission in at least one U.S. state
8+ years at a major law firm and/or working in-house with significant leveraged lending expertise
Team player eager to collaborate with others
Strong business judgment and problem-solving capabilities
Excellent analytical and communication skills
High degree of responsiveness
Ability to manage shifting priorities and multiple responsibilities
Broad corporate transactional experience, including knowledge of equity investments, CLOs, funds and other structured products, is a plus
Registered investment adviser experience is a plus
Must have unrestricted authorization to work in the United States
Must be willing to comply with pre-employment screening, including, but not limited to, drug testing, reference verification and background check
