This position will routinely assist on a broad range of matters, including public company SEC filings, corporate governance, M&A and other business transactions and commercial contracts. The successful candidate will already have a solid corporate generalist foundation, and have a desire to work in a fast-paced environment involving a wide variety of different areas of law.
Advise on ’34 Act and NYSE compliance and reporting matters, including current and periodic reports, proxy statements and Section 16 filings; take lead role in preparing the proxy statement and annual shareholder meeting materials.
Advise on corporate governance matters.
Advise on M&A and other strategic transactions; take lead role on managing due diligence efforts.
Draft/review/negotiate various commercial contracts, including with respect to supply chain, newbuild, marine ops, drydocks, concessionaires, food & beverage and credit cards.
Advise treasury group with respect to financing/capital markets transactions.
Advise newbuild group with respect to the negotiation/drafting of ship construction contracts.
Lead responsibility for management of subsidiaries and joint venture arrangements.
Advise as needed with executive compensation, equity plan and benefits matters.
Advise as needed with tax matters.
Juris Doctor from an accredited U.S. law school; Admission to the Florida Bar
3-5 years of relevant law firm experience with securities laws or M&A (preferably both)
Experience with financing/capital market transactions
