Located at the company’s headquarters in Oak Brook, Illinois, TreeHouse is seeking a proactive, hands-on business-focused commercial generalist with expertise in consumer products regulatory law to join its collegial Law Department. This position offers autonomy and the ability to actively participate in TreeHouse’s business initiatives.
Handle and manage a wide variety of legal matters arising out of the Company’s operations. The Corporate Counsel should be able to:
Draft, review, and negotiate a variety of commercial agreements with customers, suppliers, and co-manufacturers.
Proactively manage related matters involving marketing, licensing, sales, information technology, and human resources.
Provide legal advice on federal, state and local government regulations and policies applicable to food products, including ongoing advice and counsel on labeling, packaging, advertising, and unfair competition issues.
Provide guidance on intellectual property (primarily trademark and trade dress) protection.
Proactively issue spot, and provide support as needed on such other matters as may arise.
A J. D. from an accredited law school, with demonstrated academic success.
At least eight years of broad relevant generalist commercial law experience supporting business operations, preferably in both a law firm and corporate setting. Experience in the food or other FDA-regulated industry strongly preferred.
Strong business acumen and the ability to understand TreeHouse’s business, to quickly focus in on the aspects of a transaction or litigation that matter the most to the businesses, and be proactive in addressing potential issues.
The ability to independently review, draft and negotiate a wide variety of complex agreements, such as purchase, sale, nondisclosure, distributor, and service and supply agreements.
Demonstrated knowledge of laws related to the manufacture and sale of consumer products, including FDA/USDA regulations and guidelines. Experience reviewing labels and marketing materials.
Ability to cost-effectively and efficiently manage litigation and other pre-litigation disputes.
Excellent interpersonal skills, with an ability to inspire trust and confidence with stakeholders at all levels by virtue of keen business acumen, professional competence, integrity, and personal style.
Ability to handle sensitive situations tactfully yet firmly, to be assertive without being adversarial and to take unpopular positions when necessary while maintaining trust and credibility.
Strong written and verbal communication skills, including the ability to clearly and concisely articulate complex legal concepts to a lay audience.
Proven success in managing, organizing and/or completing multiple tasks and priorities, with exceptional attention to detail. Ability to thrive in a fast-paced and changing environment.
Creativity, flexibility and resourcefulness, with a bias toward well-informed action.
Member in good standing with at least one U.S. state bar and the ability to serve as in-house corporate counsel in Illinois.
