Molina is seeking an experienced corporate transactional attorney to join its legal department. Candidates should have strong academic credentials and at least 3 years of legal experience in a large law firm, with additional in-house experience a plus. Expertise in corporate governance, SEC reporting, and mergers and acquisitions is strongly preferred, as is knowledge of the managed care industry.
Successful candidates will have a demonstrated ability to analyze a variety of legal issues and independently drive the development of appropriate legal strategies. Job responsibilities are expected to include the following:
Supporting the Corporate Secretary in administering the corporate governance functions of the board of directors and senior management of Molina;
Supporting Molina’s preparation of SEC reports, administering the corporate governance of all Molina subsidiaries, responding to audit and related inquiries, and general contract drafting and negotiation tasks;
Supporting Molina’s capital markets transactions, including debt and equity offerings;
Supporting Molina’s corporate development activities including mergers and acquisitions and strategic transactions; and
Providing legal support to various departments including: finance, compliance, marketing, and provider contracting.
The position will involve extensive contact with senior management and the board of directors as well as leaders of business units and corporate functions across the enterprise.
