Provide legal services, review and advice at the direction of the General Counsel and Deputy General Counsel-Defense. This person will provide the defense business advice and support on: all varieties of defense business, defense contracts and defense-related commercial contracts with a focus on international defense business, Foreign Corrupt Practices Act (FCPA) compliance and compliance with pertinent foreign laws and regulations, U.S. federal contracting regulations and compliance, bid/quote/proposal documents and related regulatory matters. This individual will be expected to: manage relationships with in-house clients including corporate executives and business and operating unit management, participate in and/or support negotiations with customers and potential customers and establish relationships with, and manage, outside counsel, including foreign local counsel.
Negotiate, draft and review defense-related agreements, international agreements, supply chain agreements, information technology licenses and service and maintenance agreements and other transaction agreements. Manage the flow and provide internal client service with respect to these agreements.
Function as a liaison between Deputy General Counsel-Defense and other internal customers such as ISS (International Shared Services), defense program groups and defense contracts team members.
Review domestic and international bid documents to identify legal and related issues.
Draft, review, negotiate and/or modify international intermediary agreements, direct commercial contracts and related agreements; manage legal and regulatory compliance with respect to the foregoing.
Establish foreign counsel relationships for foreign markets and efficiently manage their provision of legal services. Travel overseas, as necessary, to support legal needs of defense international client.
Stay current on relevant legal and regulatory changes to bring forward business opportunities and provide advice on and manage associated risk.
Evaluate proposals to ensure contract requirements are adequately defined and documented and meet legal specifications and make recommendations to mitigate and/or eliminate legal risks.
Ensure that contract and related business activities are in full compliance with legal/governmental requirements (FCPA and other anti-bribery regimes, applicable foreign laws and regulations, Federal Acquisition Regulations, Defense Federal Acquisition Regulation Supplement, Defense Contract Management Agency and Defense Contract Audit Agency).
Maintain oversight of cross-functional projects and initiatives and report progress to Deputy General Counsel-Defense.
Review legal compliance of international business practices, internal labor charges, purchase orders, quotes, proposals, bids, and specifications.
BASIC QUALIFICATIONS • J.D. from a law school and member in good standing of the bar of at least one state • 10-plus years of post J.D. experience
PREFERRED QUALIFICATIONS • Familiarity with international defense business • Current knowledge of federal contracting law and regulations • Experience with government contracts • Experience in an in-house department • CFCM (Certified Federal Contracts Manager), CCCM (Certified Commercial Contracts Manager), or CPCM (Certified Professional Contracts Manager) designations • Ability to communicate effectively, deal diplomatically with internal and external customers, work independently, prioritize and manage numerous projects
