Lowe’s seeks a creative, solutions-minded candidate to operate in a dynamic, fast-paced environment for a role that will support critical work streams to drive the Company’s continued evolution as an omni-channel retailer. The Counsel, Commercial Transactions reports to a Vice President, Assistant General Counsel and may be responsible for drafting and negotiating various types of commercial agreements in any number of areas, including those related to the Company’s marketing and advertising work. This position may support various areas of the Company’s business and may require negotiating with and creating transaction documents for matters involving a wide-range of service and product providers of various sizes and sophistication levels.
Core legal responsibilities may include commercial contracts, contract management, transactional advice and counsel, eCommerce, consumer contracts and terms and conditions, commercial sales agreements, re-seller agreements, non-disclosure agreements, and the provision of on-going education and training on related issues. The position is responsible for managing and providing results that support key client groups by providing practical legal advice and recommendations to enable the clients to meet challenging business objectives, often in emerging areas of business and law. The person in this position must be able to identify and mitigate legal risks by understanding legal issues and translating them into easily understood and practical legal advice and counsel while also being able to identify and communicate potential options and solutions to meeting business objectives within applicable legal, regulatory, and business constraints. This position requires working closely with others across the Lowe’s Legal Department and its global locations, as well as, other leaders across the company in order to develop holistic, meaningful, and practical advice and recommendations to the clients.
The successful candidate may be called upon to manage large projects, external relationship partners, such as outside counsel, or to work closely with non-attorney professionals and/or paraprofessionals.
Ability to structure or negotiate complex commercial transactions, in one or more of the following categories: product or service buying and sourcing agreements, consumer and commercial customer agreements, professional services agreements, consumer terms and conditions, eCommerce transactional documents, non-disclosure agreements, and marketing and advertising agreements.
Ability to deliver work product within business constraints in a high-volume, fast-paced and demanding environment while balancing competing client requests.
Comprehensive knowledge and understanding of laws applicable to one or more of the following, so as to be able to evaluate situations and act decisively by understanding the short-term, intermediate, and long term business and legal implications of decisions being made or under consideration: commercial transactions relating to sourcing products or services for the Company’s use or for re-sale, or laws or regulations in the retail industry.
Experience leading or ability to lead large scale, complex legal projects and to propose practical options for meeting client business goals within applicable legal and regulatory requirements.
Ability to travel, including air travel, domestically and internationally on occasion (approximately 1-2 times per year).
J.D. from an ABA accredited institution.
Minimum of 4 years relevant experience in law firm, in-house, or legal field.
Licensed topractice law and in good standing in at least one state.
Strong academic credentials from the respective ABA accredited institution.
High energy and a dedication to client service.

Strong negotiation, drafting, and analytical skills for various types of agreements.
In-house legal experience.
Retail, Home Improvement, or Home-Related Consumer or Commercial Goods or Services work experience.
Strong interest in innovation.
Familiarity with one of the following: Marketing and Advertising, Retail, Ecommerce, B2B Sales, Product or Services’ Sourcing, Home Improvement.
Experience with and understanding of the legal issues related to the following areas: marketing and advertising, sourcing (products or services), or commercial transactions.
