The Vice President and Assistant General Counsel is a member of the National Legal Department’s Leadership Strategic Team (“LST”) and the Practice Group Management Team (“PMT”), and thus shares responsibility for the strategic direction, organization, and outcomes of the Legal Department. Leadership and management (including change-management) skills are particularly important for this position.
The position directly reports to the General Counsel, and serves the national and regional offices in providing legal support for Kaiser Permanente business transactions across multiple Health Plan and Hospital business entities. This is a challenging set of accountabilities, particularly in view of the fact that the Kaiser Permanente organization has been moving from a regionally-based system to a shared service system that is designed both to take advantage of the efficiencies of a shared service model and to create a customer experience that is similar across all regions. To meet this challenge, the Assistant General Counsel must be able to (1) bring an independent, Program-wide perspective to regional issues, and (2) build a relationship of respect with clients at both Program and regional levels by consistently demonstrating legal expertise, business and market knowledge, calm objectivity, independence, ethics, and charitable purpose. This objective and independent orientation is consistent with an in-house lawyer’s legal duty to represent the corporate entity as a whole.
The Assistant General Counsel also has a leadership role in assisting the National Legal Department in becoming more efficient, affordable and accessible, while maintaining its high quality. Lawyers should be expert in conflict management and resolution. An important part of the Vice President and Assistant General Counsel’s job is to help build an institutional culture in which differing viewpoints are surfaced to and expressly addressed by leadership in a timely fashion, and where leadership decisions are fully adopted and owned by all levels of management.
Recognized expert in regulated health care transactions, particularly transactions between health plans and providers (e.g., hospitals, physician groups) in the HMO context. Knowledge of laws, regulations and industry practices applicable to such transactions, including pricing models, antitrust considerations, state HMO regulations, CMS regulations, and tax exemption.
Knowledge of the range of non-HMO health care transactions such as ACOs, self-funded administrative arrangements, etc.
Demonstrated understanding of charitable HMO and hospital mission and duties.
Extensive experience with merger/acquisition transactions and joint venture arrangements in the health care context.
Acts as a key thought leader and driver of the legal department's short- term and long-term strategy in a manner that responds to a dynamic business environment and increasing pressures toward affordability. Aligns the legal department's resources and work with the organization's current strategy. Develops metrics to measure success. Focuses on outcomes as well as process. Anticipates and identifies trends and developments in the legal and regulatory environment and evaluates their impact on strategic initiatives of the legal department and the organization as a whole. Facilitates calm and objective discussion of difficult issues.

Minimum twenty (20) years’ experience as a practicing attorney, primarily in health law and extensive experience leading merger/acquisition transactions.
California State Bar license or willingness to obtain California State Bar license required.
Recognized (externally and/or internally) as an expert in one or more specialties within the health law area.
Excellent legal judgment.
Demonstrated excellent performance as a practicing attorney.
