Florida Crystals is based in Palm Beach County, and farms over 190,000 acres it owns or leases. FCC owns and operates two sugar mills, a sugar refinery, a cogeneration power plant, a rice mill, a corn joint-venture, and a commercial office building, and has a partnership which owns American Sugar Refining, Inc., the world’s largest sugar refinery, with a number of major and secondary plants in the U.S. and Canada. In addition to its agricultural and sugar refining businesses, FCC develops, owns and operates multi-family apartment projects. This activity includes land acquisition, land entitlement, project design and construction, project marketing and leasing, and property management.
The Real Estate Counsel is responsible for all real estate related legal work for the above-described businesses, and reports to the Vice President and General Counsel.
DETAILED ROLES & RESPONSIBILITIES
Work closely with business and operations personnel and consultants on real estate projects, including farm land leases, commercial building leases, secured and unsecured corporate and real estate financing, appraisals, crop service and processing agreements, zoning and land use matters, real estate purchase and sale agreements, construction contracts, and title and survey matters.
Negotiate and draft farm leases and manage relationships with private, corporate and governmental landlords.
Negotiates and prepares real estate related documents, such as deeds, easements, office leases, mortgages, loan agreements, guarantees, promissory notes, agriculture agreements, construction contracts, notices of commencement, construction bonds, title insurance commitments and surveys.
Manages outside counsel on certain real estate related projects.
Work with inside and outside counsel on zoning and land use matters.
Maintains the corporate real estate records.
Minimum of five years of experience in all aspects of real property law and financing.
Knowledge of corporate formation and organization, title, survey.
Prefer legal experience in agriculture, industrial and multifamily, commercial real estate, construction contracts and land use.
Juris Doctor Degree.
Admission to the Florida Bar.
Supervise one paralegal and one administrative assistant/paralegal.
