A top client of Parker + Lynch is seeking a Senior Counsel to fill a key role in its Northern Virginia office. The company is seeking a talented attorney to draft and review SEC filings, including proxy statements, Forms 10-K, 10-Q and 8-K, as well as Section 16 filings. The Senior Counsel will regularly prepare materials for consideration by the Board and its Committees, support corporate transactional matters (e.g., acquisitions or divestitures, corporate reorganizations, joint ventures and financing transactions), and work with the Finance, Treasury, Tax and Risk Management teams on banking and investment matters, intercompany agreements, tax planning, internal controls, and enterprise risk management. This role will develop corporate governance policies and implementing legal controls to help ensure sound corporate governance practices. In addition to advising on Board matters, this position will also advise on establishing foreign operations and other cross-border business planning issues, will advise on other regulatory issues (e.g., FCPA and data privacy, and IP and trademark protection matters), and will assist on litigation when needed.
The company is looking for a self-starter who has excellent interpersonal skills, demonstrates project ownership, and enjoys working across departments. Also, the ideal candidate will possess the following:
JD from a top tier law school
Superior interpersonal skills and judgment
At least 5 years of experience with a reputable law firm and/or in-house department; a combination of law firm experience AND in-house experience is a plus
Experience with corporate governance matters and publicly traded companies (including Securities Act of 1933, the Securities Exchange Act of 1934 and the Sarbanes-Oxley Act)
Ability to manage fast-paced workload and participate in multiple projects simultaneously
