The Development Counsel will provide legal support to our Company’s franchised and managed hotel development teams throughout the Americas. The ideal candidate will have experience with the Hospitality industry and the franchise business model. Responsibilities include providing substantive legal advice in the areas of management agreements, franchising, contract management, hotel retention, real estate and related financing arrangements, negotiating and drafting related legal documentation and managing outside counsel.
What will I be doing?
Support the development and communication of strategies and action plans that ensure the Legal team’s global and local business objectives are achieved
Manage all aspects of ‘deal’ documentation from inception to closure
Provide advice and support to Development Contract Administration
Provide support to Hilton’s Franchise Regulatory function, including drafting Franchise Disclosure documents
Facilitate Owner Relations, including supporting the Dispute Resolution function, as well drafting and negotiating ongoing documentation necessary for system hotels
Assist in reviewing and implementing local law advice from a variety of jurisdictions with different legal systems
Protect Hilton’s commercial interests while developing and implementing legal strategies to address development issues
Formulate and deliver training programs and self-service tools for business partners
Work on improving the standard suite of development documents in the Hilton “legal tool box” including simplifying contracts to the greatest extent possible
The following will contribute to success in this role:
Must be technologically savvy and have a high degree of comfort with a variety of e-tools, databases and working in a paperless environment
Must be able to work independently without a high degree of oversight, as well as lead projects, analyze problems and present solutions
Must be comfortable with multi-tasking and constantly shifting priorities
Must be a team player; experience with cross-cultural communications
Must have strong work ethic and a desire to consistently perform at the highest levels of competence
Must have many years of experience in a large law firm or corporation’s hospitality, franchise or real estate practice with exposure to a variety of hotel development and franchise issues
Must have served as a lead attorney in sophisticated transactions including negotiating and drafting a variety of development agreements
To fulfill this role successfully, you must possess the following minimum qualifications and experience:
J.D. from an ABA accredited law school
Admission to a U.S. State Bar and the ability to meet the eligibility requirements for in-house practice in the Commonwealth of Virginia
A minimum of five (5) years of experience negotiating and drafting commercial agreements for large transactions and/or related Legal experience
It would be advantageous in this position for you to demonstrate the following capabilities and distinctions:
A minimum of seven (7) years of professional experience
A minimum of five (5) years of Hospitality industry related experience
A minimum of two (2) years of managerial experience
