SUMMARY The General Counsel is a key member of the Leadership Team. The General Counsel is responsible for the Company’s legal, compliance, and risk programs, providing advice and counsel to Leadership as a respected and trusted voice of integrity.

ESSENTIAL DUTIES AND RESPONSIBILITIES: To perform this job successfully, an individual must be able to perform each of the duties and responsibilities listed below. Other duties and responsibilities may be assigned. • Develop and execute the legal function and capability of the organization, leveraging resources within the department, Company, external counsel, and others to develop a comprehensive legal strategy. • Manage complex legal and compliance issues. Provide counsel on a variety of substantive legal and compliance issues. Provide business leaders with legal advice that supports the business' objectives. • Establish priorities, challenges, goals, and plans for the Legal Department, including financial and non-financial criteria against which performance will be measured. • Establish regimented routines and processes to ensure effective review, management, oversight, execution, and measurement of department performance. • Engage in long-term planning and contribute to the overall business strategy. Integrate and develop legal and compliance processes that meet business needs across the organization. • Advise management when there is a potential liability exposure or risk of non-compliance and provide corrective and mitigating recommendations. • Interface with Board of Directors and Shareholder to discuss legal matters. • Prepare, review, and negotiate transactional documents (e.g., contracts) for the Company.
• Draft and/or assist in the development and communication of Company policies and procedures for legal and ethical conduct. • Implement programs, policies, and practices to ensure the company is in compliance with federal, state, and local regulatory requirements. Provide recommendations regarding the current status of the company’s programs, policies, and practices in relation to applicable laws and regulations. • Develop and maintain library of resources regarding legal and compliance topics, plus federal, state, and local regulatory requirements. • Coordinate audits and investigations to ensure the company is operating in accordance with compliance requirements and with company programs, policies, and practices. Also coordinate and/or support investigations of concerns. Identify issues that require action. Prepare documentation of investigations for management review. • Serve as a confidential point of contact for employees to communicate with management, seek clarification on issues or dilemmas, or report irregularities. • Conduct employee training on legal and regulatory requirements. • Timely coordinate and manage various government, regulatory, and other information requests and filings, (e.g., subpoena responses, employment records requests, unemployment claim responses, business licenses). • Manage external counsel expense and involvement in legal issues, with particular sensitivity to cost/benefit analysis and budget requirements. • Plan the Company’s strategy for handling government affairs, including interface with industry groups on issues and legislation that are significant to the Company’s present and future. • In coordination with the Workers Compensation Manager, oversee the management of Company insurance programs, with special attention to Workers’ Compensation Insurance. • Perform managerial responsibilities in accordance with Company business policies, including: O Interviewing, hiring, and training employees; O Planning, assigning, and directing work; O Appraising performance; O Rewarding and disciplining employees; and O Addressing complaints and resolving problems.
Experience/Skills • Ten (10) years of experience as an attorney, either in an industrial in-house capacity or as part of a law firm. • Able to hold sensitive information in confidence. • Highly-developed communications skills (written and verbal). • Able to speak effectively in one-on-one situations and before groups of employees. • Ability to grasp and understand business concepts and issues. • Ability to find a solution or deal proactively with work related issues. • Unquestionable ethics, integrity, diversity, and trust. • Strong sense of self and personal presence. • Strong strategic/financial analysis skills. • Sense of urgency and passion for serving multiple clients, especially our field teams, within ONE organization.
Preferred • Experience in the field of labor and employment law. • Experience in the industrial construction or maintenance business, especially union labor.
Ten + years preferred, but not required for this position. This position resides in Pasadena, TX near Houston.
