G&S has been engaged on an exclusive basis to assist a leading distributor of open source software components in its search for a Senior Counsel. This newly created position will be the “right hand” to the General Counsel and will work closely with him to support key internal business units (alliances & sales, marketing, product development and human resources).
Primary Responsibilities: Drafting and negotiating a variety of commercial agreements (e.g., marketing, professional service, business development, and vendor contracts); reviewing and negotiating transactions related to the licensing or ownership of the company’s intellectual property (e.g., data licenses, technology and software licenses, and trademark licenses); supporting the General Counsel on M&A related activities, corporate governance and corporate finance matters; manage the day-to-day deal pipeline with sales and business development teams across the Americas and EMEA region; providing strategic guidance if/when commercial disputes arise; and assisting HR with employment law matters as needed.
Candidate Profile Sought: 4-8 years of transactional experience either 1) in an AmLaw top 200 firm as a corporate M&A or technology transactions associate, or 2) in an in-house legal department as a commercial attorney focused on licensing, software development, SaaS agreements, etc. Strong drafting and negotiating skills are essential, and familiarity with government contracts and/or employment law matters is a plus. Candidates must have the ability to juggle multiple projects and effectively close transactions on tight deadlines. Consensus building across groups is essential, as is the ability to work effectively with all levels of management and staff.
Selling Points: This software company (founded only 10 years ago) is in high-growth mode and making a name for itself in the development operations (DevOps) field. Their corporate culture is extremely casual (yet professional) and very collaborative, and this position could be based in either their MD or NOVA office. Hours are predictable at 9am-6:30pm, and the possibility exists to telecommute one day a week. The General Counsel, who has been in this industry for 15+ years, is incredibly knowledgeable and highly skilled in these transactions (in addition, we’ve known him for most of his professional career and believe he would be an excellent colleague and mentor).
