This position provides a wide range of legal services and advice to Kent Corporation and its subsidiaries (“Kent”). The candidate will work closely with the General Counsel and Legal Team, Executives, Business Unit Leaders, employees at all levels and outside Legal Counsel and report to General Counsel.
Essential Duties and Responsibilities include:
Advises, consults, and carries out the legal processes necessary to preserve and protect the rights, privileges, and obligations of the organization.
Analyzes statutes, decisions, regulations and ordinances that are relevant to legal issues.
Gathers evidence and information for management decision making.
Prepares and reviews legal opinions in order to provide to management advice and recommendations of legal implications on full spectrum of legal documents relating to contracts, intellectual property, corporate governance, and shareholder matters.
Assesses legal implications of defending or prosecuting legal action taking into account applicable business considerations.
Examines material, such as advertisements, publications, etc., for legal implications.
Advises management of proposed legislation that might affect Kent.
Works with outside legal counsel to apply for copyrights, patents, or registrations of the organization's products, processes, devices, and trademarks, advises whether to initiate or defend law suits.
Advises Kent’s business leaders of current and proposed government regulations and/or other legal obligations and rights.
Represents the company before quasi-judicial or administrative agencies of the government.
Assists in due diligence activities with inside and outside legal counsel to assure Kent’s interests are adequately represented in all mergers and acquisitions.
Assists the General Counsel in other duties as assigned, including departmental and corporate projects.
KNOWLEDGE, SKILLS & ABILITIES:
Strong leadership skills
Excellent verbal and written communications skills essential
Analytical approach to problem solving
Proficient business acumen
General understanding of contracts, intellectual property, labor issues, licenses, and real estate matters
Ability to research complex and specialized legal issues and provide strategic advice and counsel to the Legal Team
Experience in compliance and corporate governance issues
Ability to collaborate effectively with colleagues not only with the legal group but through the business units, is a team player
Ability to explain legal issues and implications for the average business leader to understand
5-10 Years’ Experience in a Law Firm, Corporate Legal Department, or other practice of law
Juris Doctor Degree Required
Bar Admission within the United States Required, with other state bar admission a plus, Iowa preferred
