G&S has been engaged by a prestigious, multi-national professional services firm to assist in its search for a transactional attorney with 3-5 years of experience. This newly created attorney position will join a group of five others who we placed on this team within the OGC over the past 18 months. The firm’s commercial group is responsible for handling master service agreements, engagement letters, statements of work, non-disclosure agreements and other associated matters, as well as coordinating with business teams, internal subject matter experts and risk management. Contracts cut across various industry sectors (financial services, healthcare, government, utilities, technology, retail, media & entertainment, etc.) and are a mix of commercial and multilateral. This new hire will help support the more senior attorneys on the team across all industry sector lines. The group also provides support for M&A transactions and supervises contract specialists in the contract review process. Note: This is not template driven work--no two agreements are the same, and they require tailoring to the specific situation. Thus our client seeks someone who is intellectually curious, agile, can think creatively and is excited by complexities.
Qualifications: 3-5 years of transactional experience (M&A, corporate or project finance or complex commercial agreements) and training in an AmLaw top 200 firm; an understanding of commercial terms and experience drafting and negotiating complex agreements; familiarity with highly regulated industry sector clients (e.g., health care or financial services) would be ideal; the ability to balance legal risks and business opportunities; executive presentation skills; and the ability to advise and influence senior business leaders and other stakeholders.
