This is a corporate generalist position reporting to the General Counsel and presents an excellent opportunity for the right candidate to join a small legal team for a successful, privately-held, healthcare provider of diagnostic medical solutions involving leading edge technology.
The successful applicant will work closely with executive and senior management providing legal and business advice, support, document drafting and review across a wide range of matters involving corporate structuring, M&A, securities, governance, tax, transactions, commercial and other types of agreements and matters. The position offers variety, a robust pipeline of projects and opportunities, and potential for career advancement and growth into roles of increasing leadership responsibility.
Negotiate and draft complex agreements and transactions.
Provide legal advice and services in a broad range of general corporate matters critical business.
Advise and assist in-house strategic acquisitions business team on mergers and acquisitions and other strategic transactions, including managing outside counsel as necessary and coordinating internal teams.
Assist in the preparation and filing of SEC filings and related documents, including current and periodic reports, proxy statements, registration statements and other securities-law filings and documents.
Drive departmental initiatives, including the development or redesign of legal support processes to increase efficiencies and better align to the needs of the business.
Ensure compliance with state, federal, and local laws and internal policies
Advise on a broad range of strategic legal and business matters.
Counsel internal clients on risk management and strategic program development.
Effectively and efficiently engage and manage outside counsel relationships.
Work in close partnership and collaboration with her or his counterparts across the organization on multidisciplinary and cross-departmental projects and initiatives.
Draft, review, and negotiate various corporate contracts and other legal documents (including confidentiality agreements, licenses, consulting contracts, memoranda of understanding, etc.)
Must be a member in good standing with State Bar
6-10 years of law firm practice
Diagnostics/healthcare/life science experience a plus
