Fortune 250 public company seeks a top ERISA/Benefits counsel with 10-15+ years’ experience to lead its ERISA/employee benefits legal team. Some of the primary responsibilities of this position will include:
Compliance & Administration of company employee benefit plans, including Qualified Plans (Defined Benefit & 401(k)), Nonqualified Plans (IRC Section 409A), Welfare Plans and Executive Compensation
ERISA fiduciary duty & process, fiduciary governance, fee disclosures, plan assets and prohibited transactions
COBRA, HIPAA, and the Affordable Care Act
Benefit claims & appeals, IRS and DOL plan audits, and related regulatory filings
Drafting/review of CD&A portion of the proxy, collective bargaining provisions related to benefits, and any proposed amendments to benefit plans, enrollment materials, Summary Plan Descriptions, etc.
ERISA aspects of company investments and mergers & acquisitions
Review and negotiation of investment management agreements
Coordination with Human Resources and Treasury Departments
Interfacing with regulatory authorities as required, managing outside counsel, and participating in management Committee meetings
At least 10-15+ years’ relevant experience focused on a broad range of ERISA/employee benefits matters at a top law firm, government agency or major corporation (prior in-house experience preferred)
Detailed knowledge and understanding of the design and administration of qualified and non-qualified plans, executive compensation, health and welfare plans, severance plans, deferred compensation plans, etc.
Experience with ERISA fiduciary issues, fiduciary governance and related regulatory matters
Excellent communications, presentation and analytical skills, and comfort and ability to interact with and present complex ERISA issues to senior management is a must
