Yesway is seeking a full-time in-house legal counsel to join our team! Yesway plans to assemble a portfolio of 400 to 600 convenience stores in selected regions of the United States. Negotiating, drafting and reviewing purchase and sale agreements and other transaction documents in connection with the purchase and sale of convenience stores;
Preparing closing checklists and coordinating the closing process for each transaction;
Coordinating due diligence for acquisitions and dispositions, borrowings, etc.;
Reviewing and summarizing title commitments and surveys;
Drafting title objection letters and working to clear up title issues;
Working with title companies to clear title and obtain title policies;
Reviewing and summarizing UCC, judgment, tax and other lien searches and coordinating the termination of liens;
Preparing and filing a variety of documents, including, deeds, mortgages, memoranda of leases, UCC financing statements, etc.;
Conducting legal research, as needed;
Coordinating with various city offices boards and agencies;
Preparing closing binders;
Maintaining an accurate filing system (hard & electronic copies) of all legal documents; and
Coordinating corporate governance matters including meeting minutes and consents and state filings.
Juris Doctor degree and bar admission;
Two to four years of experience as a transactional attorney, preferably in a large law firm setting or an in-house legal department;
Two to four years of commercial real estate experience;
Strong legal document drafting skills;
Strong work ethic, ability to self-start and positive can-do spirit;
Ability to multi-task and prioritize assignments while delivering consistent, quality work- product to both attorneys and transaction parties;
