Our client, a leading global medical device company, as retained The PeterSan Group to identify a Vice President, Deputy General Counsel. This person will be a strategic business partner and trusted advisor to the CEO as well as the Chairman, Board of Directors and Board Committees. Person will also be a leader and advocate of corporate governance. This position is fully integrated into the business and leverages legal, regulatory and business experience to help the business grow while anticipating risk and avoiding threats to the franchise.
Other responsibilities will include the following:
-Leadership, management and oversight of the legal department.
-Support Chief Compliance Officer and compliance team on Ethics and Compliance programs and helps drive a culture of high integrity, ethics and compliance.
-Provide legal advice and counsel to the Company and its management on a wide range of legal matters that impact the business of all operating units. Identify, quantify and manage risk exposure that impacts the day to day and future strategies of the Company. Day to day advice on operations, regulatory, litigation, business development, supply, distribution, Compliance, IP, and HR.
-Transactions: manage legal aspects and negotiations of a broad range of transactional matters including contracts, mergers & acquisitions, strategic alliances and the like; and
-Litigation and Government Investigations: create defensive and offensive litigation strategies; proactively train employees and take action to prevent litigation from interfering with business objectives; provide strategic management of government investigations to ensure minimization of both risk and disruption to business; select and retain outside counsel; and establishing budgets and reserves;
-Work closely with General Counsel in establishing the strategic direction for the global legal function and in implementing business/functional priorities. Will partner with General Counsel on virtually everything he does from corporate governance and attending board meetings, to assisting with executive compensation and employee benefit plans to sensitive employment matters. Other areas of focus will depend on experience; for example, M&A, securities (SEC/NYSE), litigation oversight.
Candidates must have the following qualifications in order to be considered:
Juris Doctorate or Graduate Legal Degree (e.g. LLM) from nationally recognized law school.
Over 15 years of broad based legal experience in the US, specifically in the medical device sector.
Experience advising senior level executives in a sophisticated corporate setting, with demonstrated success as a trusted business advisor. Must be able to influence people at all levels of the organization, regardless of reporting relationships.
Must have a global mindset and be comfortable working in a diverse, international environment. International (including ex-patriate) experience a plus.
Significant in-house corporate experience successfully leading a team of multifaceted legal professionals, including demonstrated ability to develop talent.
Strong business acumen and comfortable with financial information.
