A specialty finance company is seeking candidates for a Corporate Counsel position. The position will report to the Chief Compliance Officer and General Counsel. The Corporate Counsel will act as a corporate generalist and will be responsible for the delivery of day-to-day legal support for a variety of general corporate matters for the Company, including litigation, finance, securities, corporate governance and employment matters.
Manage a wide range of legal matters for all business areas of the Company.
Represent the Company in commercial foreclosure litigation proceedings.
Draft, review and negotiate commercial loan agreements and a variety of commercial agreements.
Research and analyze federal, state, and local laws and regulations to assess their impacts on the Company’s lines of business.
Draft and review 1934 Act filings.
Assist in equity and debt financing transactions.
Draft and update corporate policies and procedures.
Assist with regulatory inquiries and litigation matters.
Desired Skills and Experience:
Juris Doctorate from an accredited law school.
Member in good standing of the New York State Bar.
2-5 years of law firm and/or in-house experience.
Must have knowledge of either commercial foreclosure litigation or secured transactions.
Experience with drafting and negotiating commercial agreements.
Excellent research and analytical skills.
Strong work ethic and ability to multitask, prioritize and follow through on numerous projects simultaneously.
Excellent written and oral communications skills.
