Overview: Reporting to the CEO, the General Counsel and Corporate Secretary (GC) will serve as a member of the senior executive team and is responsible for all legal affairs of the Corporation. Specifically LP seeks a GC with strong intellectual curiosity, business acumen and collaboration skills to help business and functional leaders improve results. Deep experience in mergers, acquisitions and divestitures is a must. Considerable importance is put on ability to structure a business focused legal function, develop staff and drive performance. As Corporate Secretary, the GC is responsible for documentation of Board actions and provides corporate governance guidance to the Board and executive team. She or he oversees all matters related to SEC filings and activities and acts as Compliance Officer with respect to insider trading activity and executive compensation. In conjunction with HR, the GC owns the implementation of and compliance with the corporation’s Code of Conduct and promotes ethical business practices throughout the company. She or he acts as a general advisor to senior management, oversees the review of all contracts, and serves as senior risk officer with respect to insurance matters. The GC also oversees the negotiation, documentation and risk assessment of acquisitions of the Corporation.

Experience: The successful candidate will have at least fifteen (15+) years of legal experience with a strong background as a corporate generalist, a thought leader with deep M&A and business collaboration expertise. In addition candidates must have handled business law matters, contracts, public company governance, litigation management, complex transactions intellectual property, ethics and compliance, and legal department management, among other areas. A combination of top tier law firm and in-house experience is strongly preferred, and prior experience as a public company General Counsel (or DGC at a larger company) is required.
