Description: Primary responsibilities will include handling all legal aspects of commercial real estate matters, including acquisitions, financings, development, operations and dispositions, as well as providing counsel and support to the CEO, President and other members of the acquisitions, development and asset management teams.
Draft, negotiate and review (a) transactional real estate documents, including letters of intent, purchase agreements, leases, and confidentiality agreements, (b) loan documents and (c) general corporate documents, including organizational documents, partnership and joint venture agreements and subscription agreements.
Draft, negotiate, and finalize all commercial agreements, including leases, management and leasing agreements, service agreements, and vendor and supplier contracts, and close real estate transactions on an as-needed basis.
Conduct a broad range of real-estate related project due diligence, including reviewing title reports and obtaining title insurance policies and endorsements.
Draft and file all documents related to formation of new entities, name changes and other entity matters.
Conduct legal research and assist with additional legal matters and special projects as needed.
Broad and extensive experience with all aspects of real estate law, particularly commercial real estate transactions
Well-versed in commercial acquisitions and financings including preparation of loan documents, reviewing title, survey and other real estate documentation and coordination of closings
Significant experience drafting and negotiating commercial real estate documents
Interest in learning about and supporting the broad legal demands of a business
Ability to work in a fast paced business and legal environment
Ability to manage a complex workload and prioritize appropriately
Ability to work well independently or in collaboration with others
Ability to identify opportunities to create and improve systems without direction
Highly developed organizational and analytical skills with a keen attention to detail
Strong interpersonal communication skills, both informal and in presentation
Ability to maintain confidential information
Excellent writing ability
J.D. from a highly regarded law school
5-10 years of experience in real estate legal practice, preferably also experience working with real estate investment trusts or private equity funds
Licensed to practice law or able to become licensed in California
