Assistant General Counsel
As the Assistant General Counsel, you will advise the Company concerning its legal rights, obligations, and privileges; and drafts and advises on the preparation of legal documents required by the Company. The Transactions Practice Group provides legal advice and support to all areas of the Company, including in the areas of sales, marketing, product management and information technology. This position includes significant responsibility for providing legal advice and support in connection with a broad range of business transactions, including: supporting the sales organization generally; drafting and negotiating customer agreements for HR services and cloud-based software subscriptions; reviewing, negotiating and drafting vendor contracts, including software licensing and subscription agreements; and providing advice and counsel to Company leaders regarding other business transactions and general corporate matters. A significant level of independent decision-making is attached to this position which is guided by policies, procedures, objectives and coordination with Company-wide impact.
Under general supervision but with substantial decision-making:
Advises sales force regarding responses to inquiries from clients.
Negotiates and prepares amended HR service agreements and cloud-based software subscription agreements for prospects and clients.
Drafts and maintains forms of agreements utilized for sales of the Company’s solutions, including a periodic coordination of the review and revision of those forms.
Reviews and negotiates software licenses and subscriptions, confidentiality agreements, other vendor agreements, real estate leases and related documents.
Reviews and assists in the development of marketing materials.
May assist with strategic transactions.
Supports General Counsel and Managing Counsel with general corporate matters.
Drafts other legal documents as required by the Company including agreements, memoranda and correspondence.
Maintains strong professional working relationship with law firms, clients and Company staff.
Performs legal research and provides assistance to respond to specific legal questions.
Doctor of Jurisprudence Degree from an accredited law school is required.
Minimum four (4) years of transactional legal experience, with a focus on negotiating and drafting agreements and knowledge of contract law and general corporate law.
Licenses / Certifications
Current law license required, preferably from the State of Texas.
Knowledge / Skills
Significant experience with software licensing, cloud-based software subscriptions and intellectual property law is preferred; however, other transactional legal experience will be considered.
Familiarity with and interest in employment law and the governmental agencies that regulate professional employer organizations and HR matters is desired, but expertise in these areas is not required.
Business-minded approach to legal matters with ability to identify and convey risks to other members of the Legal Department and to business team members, including senior management.
Strong problem solver who can work independently or in a team to develop solutions to accomplish business objectives in a complex, regulated industry.
Possesses excellent legal reasoning, writing and contract drafting abilities.
Ability to conduct or supervise legal research with complete and accurate results.
Reads, understands and applies laws, rules, regulations, legal decisions, and other forms of written direction; organizes and analyzes facts, formulates legal conclusions and makes recommendations; performs complex legal tasks requiring initiative, judgment and responsibility.
Communicates effectively, both orally and in writing with a diverse range of audiences and in various settings; works independently and completes projects timely with little or no supervision in a fast-paced environment; ability to act in situations with confidence, assertiveness, tact, and diplomacy; ability to deal resolutely with sensitive issues; familiar with methods and techniques used in persuasion and negotiation of conflicts and problems; and maintains effective work relations with those encountered in the course of employment.
