This Novus lawyer will partner with and advise the Novus business team on a variety of legal matters. Work will include reviewing and advising on contracts related to the Novus business, contract drafting, general corporate matters, and involvement in diverse transactional matters, including complex construction, purchasing, supply and services agreements, and legal support for the possible formation and operation of strategic alliances with significant Novus partners. The role will work with and report to the Assistant General Counsel and work side-by-side with Company managers and executives to advise and work on Company legal matters to ensure Novus’s business has the legal protections it needs.
As Novus continues to expand internationally and its business becomes more diverse and complex, this role will have the opportunity to work on major projects that will directly contribute to and influence the future direction of the Company. The successful candidate must be willing to work within a fast-paced, often stress-filled environment where extensive legal knowledge, coupled with creativity and the ability to “think outside the box”, are the keys to success. Travel required up to approximately 25%, but may vary depending on the needs of a specific project.
Providing global legal advice to management on a wide variety of issues.
Negotiate, draft, and review all manner of agreements and contracts for various transactions, including complex construction, supply and services agreements.
Advise the Company on transactional matters including M&A activities, e.g. overseeing and managing the due diligence process, drafting and reviewing transactional documents as needed, providing support on related labor, IP, regulatory issues.
Advise on appropriate filings to ensure Company’s foreign subsidiaries, branches, and representative offices are compliant with applicable laws and regulations.
Work with, manage and ensure cost effective services from outside counsel.
Assist in the development of the annual legal budget, and provide input on managing costs to keep legal expenses in-line with budgeted amounts.
Advise on other legal matters that relate to any and all aspects of the Company’s business, particularly related to general corporate and international matters, as well as intellectual property.
Requires at least 8 years of hands-on experience in legal matters related to complex transactions. Corporate in-house law experience supporting a variety of functions preferred.
Experience either as a strong support or directly responsible for components of M&A transactions a plus.
A degree of scientific/chemical industry background or experience helpful.
Prefer an individual who has worked for an organization with an international (ex-U.S.) operational presence or having foreign (ex U.S.) ownership.
Superior communication skills including excellent command of the English language (spoken and written) with the ability to tailor style, content and delivery to a wide range of clients.
Licensed to practice in Missouri or willing to become licensed.
Must be willing to travel domestically and internationally. Travel estimated to be about 25% annually but may be higher depending on the demands of a particular project.
Excellent communication and drafting skills.
Excellent presentation and relationship-building skills; sensitive to cultural differences within a global organization and resulting impact on work environment and legal compliance.
Professional Experience Candidates for the position will have previous experience working within a corporate legal department or law firm.

Education/Credentials Candidates will possess a JD and be licensed to practice in Missouri (or willing to apply for admission from another state). For practice in Missouri, must be admitted pursuant to Rule 8 or Rule 8.105 of the Supreme Court Rules of the State of Missouri pursuant to Rule 4—Rules Governing the Missouri Bar and the Judiciary—Rules of Professional Conduct, Rule 4-5.5(d).
