The US multi-plant operations, with a publicly traded limited partnership unit, of a major European based international chemical company seeks a skilled senior attorney to join its legal department. The ideal candidate will have a minimum of five (5) years experience with a top tier law firm and exceptional academic credentials, will possess an aptitude for understanding complex business transactions and enjoy a close working relationship with business unit partners, and will display effective organizational skills to enable candidate to prioritize and manage multiple time sensitive projects simultaneously. Must be admitted to practice in at least one state and possess the ability to become licensed in the state of employment. The position will be located either on the Texas gulf coast or Iowa.
The ideal candidate will have a broad range of experience in the following areas:
Draft, structure, review and negotiation of substantial product sales agreements, long term input supply agreements, utility contracts, and other substantial commercial arrangements and transactions typical in the chemical industry;
Familiarity with real estate matters generally and large manufacturing/chemical site plant sharing of resources and services, and contracts, easements, restrictions associated with such sites;
Employment law, benefit and related matters;
Familiarity with SEC and exchange rules and regulations required of publicly traded entities;
Litigation experience that will enable the candidate to skillfully and constructively manage outside trial counsel in broad range of commercial, employment, tort and other disputes;
Familiarity with corporate governance, corporate structure and board of director affairs such as board meeting preparation, entity and subsidiary management, corporate charters, board committee structure, etc.
