Located at our World Headquarters in Pittsburgh, Pennsylvania the Contract Negotiator will report to a Contract Manager and is responsible for drafting, negotiating and reviewing a wide range of complex commercial contracts, normally valued between $5MM-$10MM, which meet WESCO’s contractual needs. The Contract Negotiator supports multiple WESCO business units with primarily focus on customer contracts, including government contracts, but may also contribute to supplier contracts and negotiations.
The successful candidate has a strong knowledge of contract negotiations and interpretation of contract laws with the ability to provide sound advice regarding contractual obligations and associated risk management issues. In this role, s/he will have high level visibility and exposure. Your ability to collaborate, partner, and influence cross-functional teams and employees is an additional critical aspect of this role.
Assess business opportunities from a contractual risk and profitability perspective
Analyze and draft legal provisions, including indemnity, limitation of liability, warranties and disclaimers, guarantees and other agreements
Conduct legal analysis of product liability, government procurement, and complex commercial terms and conditions
Provide direction and recommendations and make sound decisions on business matters that affect the assumption and/or mitigation of contractual, performance or other risks
Ensure timely response to customer and supplier requests in support of business opportunities
Provide contractual business leadership and training to corporate functions, field personnel and operational management
Identify and champion the implementation of best practices and contract policy and procedural improvements
Develop and implement contracting policies and procedures and apply independent judgment and foresight to continuously adapt such contracting practices
Ensure that internal procedures involving customers and suppliers are protective of the company's interests while being flexible enough not to hinder the flow of business
Interface with, and serve as a liaison to, Legal, Risk Management, Treasury, Financial Services, Audit, Taxation, and other cross-functional departments as necessary
Support acquisitions, due diligence, and integration activities, and lead such activities for the contracts functions
Act as the focal point for audits by Global Account customers of WESCO’s contract compliance
Perform other duties as required
Master’s Degree with at least two (2) years of contract negotiation and law experience within a Law Firm or corporation
Excellent oral and written communication skills with the ability to work collaboratively with all levels of employees and cross-functional teams
Ability to communicate complicated legal concepts to employees, customers and suppliers
Clear understanding of Article 2 UCC, Battle of Forms principles
Strong knowledge of insurance and bonds in operations and project work
Knowledge of contract formation, development, implementation, execution and administration
Strong negotiation skills in a global business environment with the understanding of various factors affecting the profitability and loss of various commercial transactions
Excellent drafting skills with the ability to prepare any form of contract in support of business initiatives - without the aid of templates
Strong strategic thinking skills with the ability to work well under pressure and manage through conflict
