The mission of the Globus Medical Legal Department is to provide Globus Medical with world-class legal services to help the company grow and achieve its business goals. The Globus Medical Legal Department provides strategic, timely, proactive, practical and cost-effective counsel while meeting the highest legal, ethical, and professional standards. The Legal Department currently includes 10 lawyers, not including this position, plus 2 para-professionals and an administrator. The Department is based within the company’s headquarters in Audubon, PA. Areas of expertise within the Legal Department include general commercial law (including customer and vendor contracting), corporate governance and securities, intellectual property, international, labor and employment, litigation, mergers and acquisitions, and regulatory affairs.
The Counsel will be a critical member of the Legal Department, providing direct support to the General Counsel and to a variety of business functions, including business development, professional affairs, operations, and U.S. and international sales, as well as providing support as needed to other attorneys on a wide variety of matters. This attorney will work across all of our business divisions, providing advice and assistance in negotiating and documenting commercial and other contractual relationships as well as mergers and acquisitions and other transactional matters. Depending on his or her prior experience, the Counsel may also assist in securities and corporate governance matters as well.
Position Responsibilities and Specific Duties
Draft, review, analyze, structure and negotiate a range of agreements and transactions including those involving merger and acquisitions, customers, research, confidentiality, and other corporate agreements for domestic and international operations.
Assist in corporate development activities, including participation in due diligence.
Provide counsel regarding securities, corporate governance and international and domestic entity formation and management, as well as bankruptcy matters.
Work with business counterparts, both domestically and internationally, to identify and provide advice regarding legal risks and issues.
Assist senior members of the legal department with other legal needs of the company as necessary and contribute to the overall legal function.
Develop a thorough understanding of and familiarity with the Company’s business, its people, products, technology, markets, facilities, customers and competitors in order to assist the company in meeting overall business objectives.
Provide training and make presentations to company personnel regarding legal issues.
Supervise non-lawyer staff and manage outside counsel as necessary.
A record of outstanding academic achievement at the undergraduate and graduate levels
Admission to practice law in at least one state – strong preference for licensure in Pennsylvania
Minimum of 5 years of transactional/corporate law experience with a large law firm and/or in-house pharmaceutical or medical devices experience
Pragmatic judgment, particularly in determining the significance of legal matters and effectively measuring and balancing legal and business risks
Effective organizational skills in order to prioritize and manage multiple time-sensitive projects simultaneously
Strong, hands-on work ethic with willingness to assume heavy workload to meet timing and project needs
Excellent written and oral communication skills, with ability to synthesize complex legal issues to essential elements for clients throughout the organization with different abilities and responsibilities
Strong interpersonal skills, including optimism, diplomacy and flexibility, and the ability to interface effectively with personnel at many different levels throughout the Company and with our customers and other business partners
Ability to delegate and supervise
Willingness to travel and to spend time at various company locations to understand our business and provide guidance and training
