Wellstat Management Company, a privately held company located in Rockville, Maryland, is seeking an Assistant General Counsel to join our team. The company provides management, legal, financial, human resources, information technology, business development, transactional, investment, licensing, and other services to the Wellstat group of companies. The successful candidate will provide a variety of general corporate and commercial legal services to a group of companies in the biopharmaceutical and materials science areas which may include some or all of the following: general contract preparation and negotiation, i.e., non-disclosure, consulting, service, development, clinical trial, manufacturing, material transfer, supply and research agreements; government and regulatory affairs; business acquisitions and ventures; license, partnership, distribution and other commercialization agreements; real estate; and labor and employment practices. Additionally, the candidate will review legal data, assist with appropriate legal action to be taken, and will work with outside counsel.
Demonstrates experience in general corporate matters, including corporate organization, drafting transactional documents, license agreements, risk management asset-backed financing, contract management, securities compliance, and employment law.
Assists with the management of legal business matters pertaining to the organization and its affiliates.
Provides a variety of general corporate and commercial legal services to in-house clients.
Assists with legal issues involving the organization’s government and regulatory compliance.
Reviews legal data and assists with appropriate legal action to be taken, which may include litigation.
Assists with the coordination of legal matters handled by outside counsel.
7-10 years of broad-based general corporate experience in either private practice or in-house corporate legal environment.
Excellent writing, oral and interpersonal communication skills.
Detail oriented and a critical thinker.
Reliable, responsible and trustworthy.
Proven success in managing, organizing and/or completing multiple tasks and priorities.
Creativity and resourcefulness, with a bias toward well-informed action.
Experience with the pharmaceutical / life sciences / biotechnology industries is highly desired.
Juris doctorate from an accredited law school with proven academic success.
License to practice law and in good standing under the Bar of any state that enables admission to practice as in-house counsel in Maryland.
