In support of our ongoing growth, we are looking for an experienced and highly motivated attorney to serve as Associate Counsel in a growing, fast-paced legal department. The position is ideal for someone who seeks a diverse set of challenges and enjoys the opportunity to regularly develop new skills and legal/business knowledge. The Associate Counsel can be located in either our Troy, MI headquarters or our Reston, VA office. Responsibilities include the following:
Structuring, drafting, reviewing, negotiating and advising on complex SaaS subscription, software license and service agreements.
Working directly with sales, finance, professional services, product development, marketing, HR, and other internal teams across the company to negotiate deals and provide counseling on a large variety of issues.
Manage extensive contracts processes.
Assist in advising company on data privacy and security matters (including applicable state, federal, and international laws).
Report directly to Vice President, Legal.
A successful candidate will have a law degree, 3-6 years of relevant legal experience supporting revenue transactions.
Knowledge and experience with SaaS-based products is preferred as well as possessing significant technology licensing experience and interest in technology companies.
Must be admitted to practice in Michigan or Maryland, DC, or Virginia, depending on location.
Extensive in-house experience and/or top tier law firm training is required.
Knowledge of U.S. and international data privacy, security and export laws is a significant plus.
Ability to work in a team environment and to effectively prioritize and multi-task under tight time constraints.
Sense of humor, collegial personality and attention to detail are a must.
