IBTS is seeking an Attorney, licensed to practice in Virginia, with a General Counsel background, for a newly created Director-level position. The incumbent will provide legal advice to the Executive team and legal guidance to other Directors/Managers. The incumbent will be a thought leader in key areas. Responsibilities will include addressing current and future growth needs. This position will oversee Contract Administrator(s).
Reviewing, approving, and as needed, executing contracts/sub contracts/vendor agreements.
Developing policies, guidelines, and procedure to protect IBTS interests and reduce risks while expediting the signature process.
Assisting in defense of any litigation, collection of funds, enforcement of agreements, and representing IBTS and its subsidiaries as needed including working with other attorneys to defend and enforce the issues.
Reviewing and finalizing our insurance agreements and monitoring risk management.
Providing oversight to HQs contract administrator and full life cycle of contract administration.
Providing guidance and monitor the contract specialists/administrators embedded in various external facing divisions for managing major contracts.
Organizing training for all directors and managers on reducing risks, work with clients and subcontractors for reducing risks, and for record keeping to protect IBTS interests.
Training and monitoring staff compliance with policies and procedures related with contract administration, risk reduction, and regulatory compliance.
Conducting internal audits with the help of other specialists (finance, technology, Human Capital, quality assurance) to monitor the risks at various field operations or programs; and making recommendations for risk reductions. This may require some field audits and interviewing staff or subs or clients.
Providing thought leadership in regulatory compliance for various federal/state/local government programs, and protecting government/public/IBTS interests, and meeting transparency and reporting requirements.
Advising Executive Team and other directors in identification, mitigation, and managing various legal or other type of risks, overseeing protecting IBTS intellectual properties, assisting in purchase of properties, and public image of ethical, professional, and nonprofit organization.
Reviewing the RFPs, teaming agreements, proposals, draft contracts for risks, help as needed negotiate contracts and contract modifications.
Licensed Attorney in good standing, licensed to practice in VA, knowledgeable of other states legal issues.
5 years' experience as general counsel for an organization of similar size, scope, and complexity while performing similar duties as required for this position.
An accomplished leader, culminating in a position as a general counsel with a strong strategic orientation in a consulting services business or similar organization.
Experience in providing advice to executive team in a constructive manner, developing teamwork with colleagues, and protecting corporate interests (litigation, negotiations, enforcement of terms, collections, intellectual property, etc.).
Experience with change management, providing guidance, training, and motivation to managers regarding the development and implementation of new policies and procedures.
Experience conducting investigations, audits, and reviews, providing recommendations to reduce risks in a cooperative manner.
Experience in contract administration, government contracts, teaming agreements, vendors, typical corporate risk mitigation, risk management affairs, and conflict resolution.
Demonstrated significant success, business and financial acumen, unquestioned integrity, entrepreneurialism throughout his/her career.
