General Commercial/Contracts, Mergers/Acquisitions
Our client, a provider of leading edge RPA software solutions that enable their enterprise customers to automate their business processes, is looking for a licensing attorney with M&A experience to be based in the Netherlands. You will support our client’s EU sales transactions and will work closely with and provide advice to the EU sales team based in the UK. Your focus will be reviewing and negotiating enterprise software and technology licenses, services agreements, non-disclosure agreements, RFP responses, and distribution agreements. You may also be expected to provide legal support for any acquisitions in the EU.
WHAT YOU WILL DO
Work closely with our client’s sales teams in the EU, India and the United States to understand and achieve key business and sales objectives
Report to US Legal team based in the Silicon Valley (US)
Review and negotiate software licensing, support services, and nondisclosure agreements in support of EMEA sales
Provide EU centric advice to business and technology teams regarding deal structures and common approaches to addressing issues
Drive agreements to completion
Advise on EU commercial laws and prepare localized EU versions of our software license and other agreements
Advise on EU data issues
Advise on EU risks and liabilities of proposed commercial transactions and devise creative and practical legal solutions to meet business objectives
Advise on and assist with M&A deals in the EU, including conducting and assisting in the management of due diligence, assisting in the drafting of deal documentation, coordinating deal closings, tracking post-closing requirements, and assisting in post-deal integration
WHAT TO BRING ¾ MUST-HAVES
Must be proficient in English
A practical and proactive problem-solver who possesses business acumen
Skillful negotiator experienced in drafting commercial contracts
At least two to three years of transactional legal experience at a mid or large size law firm.
High volume commercial software transactions experience with enterprise licensing and/or services sales agreements, non-disclosure agreements, RFP responses, and technology distributor agreements
Knowledge of legal issues in complex services and technology transactions
M&A experience including conducting due diligence, coordinating deal closings, tracking post-closing requirements, and assisting in post-deal integration
The ability to manage and prioritize multiple tasks to meet deadlines
Strong written and oral communication and interpersonal skills
Ability to work independently and with a team
Personal and professional integrity
Law degree from an US or UK law school
Eligible to practice law in Netherlands
Experience working with US companies
Experience working with Indian sales teams
3 years at a recognized law firm focusing on commercial or licensing transactions
In-house experience helpful, particularly with start-up culture
Meaningful experience in other relevant areas such as cloud and SaaS agreements, privacy laws, data security, export-import controls, and other regulatory issues impacting software transactions
Proficient in German and/or French
