The mission of the Legal function is to provide the Company with world-class legal services that help the Company grow and achieve its business goals. It does so by ensuring that the advice given and services provided are strategic, timely, proactive, practical, cost-effective, and meet the highest legal, ethical, and professional standards. Currently, the Legal function is comprised of more than 20 lawyers and 7 paralegals in the U.S., Europe and South America. Areas of expertise within the Legal function include general commercial law (including customer and vendor contracting), corporate governance and securities, intellectual property, international, labor and employment, litigation, mergers and acquisitions, ethics and compliance, and regulatory.
About the Position
The Assistant General Counsel will be a key member of the Legal Department, reporting and providing direct support, principally to one of the Company’s VP, Associate General Counsels, on a wide variety of legal matters, including commercial contracts, litigation and real estate. The Assistant General Counsel will liaise as needed with each of the Company’s business units and business functions to resolve issues. This attorney will be the legal resource in our commercial group, providing advice on, and assistance in negotiating and documenting, all commercial relationships, as well as mergers and acquisition matters and all other matters relating to the success of our business.
Position Responsibilities and Specific Duties
Draft, review, analyze, structure and negotiate manufacturing, packaging, pharmaceutical development, purchase, supply, license and master service agreements
Advise business unit personnel with respect to compliance policies, customer and vendor relations, contract matters, and regulatory issues
Assist in merger and acquisition activity
Assist in corporate governance activity
Provide general advice to senior management of the business units and other senior Company business personnel on a day-to-day basis
Special assignments and projects
Provide advice and guidance for the accomplishment of the overall business objectives in compliance with applicable laws and regulations and avoidance of unacceptable risks
Provide informed cost-benefit analysis when identifying risks
Develop a thorough understanding of and familiarity with the Company’s business, its people, products, technology, markets, facilities, customers and competitors in order to identify trends and formulate structures and strategies accordingly
Ensure that all Company activities are conducted in compliance with internal policies and procedures
Make presentations to Company personnel on legal issues as needed
A record of outstanding academic achievement at the undergraduate and graduate levels
Admitted to practice in New Jersey (NJ in-house admission is acceptable)
Minimum of 8-10 years of transactional/commercial law experience with a large law firm and/or in-house pharmaceutical experience
A business person’s lawyer with excellent judgment, particularly in determining the significance of legal matters and effectively measuring and minimizing risks
Strong organizational skills in order to prioritize and manage multiple time-sensitive projects simultaneously; willingness to assume heavy workload to meet timing and project needs
Excellent written and oral communication skills, with ability to synthesize complex legal issues to essential elements for clients throughout the organization with different abilities and responsibilities
Strong interpersonal skills, including diplomacy and flexibility, and the ability to interface effectively with personnel at many different levels throughout the Company and with our customers and other business partners
Ability to assume complex projects, create and present a plan of action, and independently manage projects to favorable resolution or conclusion
Ability to maintain credibility within the organization and a high level of integrity of confidential and sensitive information
Ability and comfort with decision-making responsibilities
Must demonstrate maturity and initiative
Team-oriented and hands-on work orientation
Attention to detail
Willingness to travel and to spend time at various Company locations to understand our business and provide guidance and training
Enthusiasm and “self-starter” qualities enabling the attorney to manage responsibilities with an appropriate sense of urgency; the ability to function effectively and efficiently in a fast-paced and dynamic environment
Able to take direction and act accordingly with conviction and in a timely and high-quality manner
