The Associate Counsel will provide advice and counsel on SEC reporting, domestic financings, matters related to the Boards of Directors and their Committees, general corporate matters, and general contract matters.
Advise on 1933 Act and 1934 Act matters; draft periodic and annual filings
NYSE compliance and shareholder/unitholder matters
Administer the Company’s insider trading policy
Oversee support of Treasury Department, including stock splits, stock repurchase program, banking matters and annual dividend and distribution schedule
Advise on all legal, investor, and SEC-related aspects of domestic bank financings and private placements
Prepare materials for Board of Directors and committee meetings, including meeting minutes
Responsible for meetings of the SERC, Audit and Pension Committees of the Boards of Directors, including agendas, meeting materials and minutes
Training for officers and company employees across the domestic business units on Federal Securities laws, confidentiality, ethics and compliance and other legal issues
General corporate responsibilities:
Responsible for capital contributions and dividend documentation across organization
Preparation and negotiation of confidentiality agreements for acquisitions
and divestitures and as needed
Contract support for Internal Audit, Accounting, Treasury, Investor Relations, Tax and Finance Departments
Review investor presentations and press releases
Attend meetings and provide support for Retirement and Benefits Committees across the Company
Attend meetings and provide support for Investment Committee
Advise on Pennsylvania, Delaware and general corporate policies and governance
Support on compliance projects
Law School Degree required
Admission to the Bar
Continuing Legal Education sufficient to comply with state license requirements
Minimum of 7 plus years of relevant legal practice experience
Knowledge of state (Pennsylvania and Delaware primarily) law regarding corporations, partnerships, and general corporate matters, financings, federal securities laws, NYSE requirements
Strong oral and written communications, legal drafting, and negotiation skills.
Creative skills necessary to provide solutions to mitigate business risks arising in corporate transactions, financings and securities law matters.
