The Senior Corporate Counsel supports all levels of the organization and is responsible for all aspects of managing complex commercial transactions, mergers and acquisitions, and SEC compliance issues and assisting with corporate governance and corporate secretarial duties.
Provide legal guidance and assist the Company’s efforts on all corporate and strategic transactions, including acquisitions, dispositions, joint ventures, equity financings, debt financings, inter-company relationships, complex commercial agreements and other corporate activities, including the management of all transaction-related due diligence processes
Review, draft and negotiate various complex agreements, including master services agreements, supply agreements, asset and stock purchase agreements and license agreements
Analyze and interpret laws, statutes and regulations, and identify areas of compliance, as well as potential vulnerability and risk; partner with the appropriate business unit(s) and/or operations in order to develop and implement appropriate action plans
Anticipate and guard against legal risks facing the company
Assist in FDA and regulatory compliance matters
Assist with SEC compliance and reporting
Advise on corporate governance matters and assist with Corporate secretarial duties including preparing for meetings of the Board of Directors
Assist Human Resources Group on a variety of employment issues, including employment agreements, severance packages, training and EEO-related matters
Assist with general litigation
Performs additional tasks as requested by the General Counsel and other corporate officers, and provide other legal advice and services as the legal needs of the organization arise.
5-7 years of progressive experience in a recognized law firm or Corporate law department
B.A. or B.S. from a 4-year college or university of recognized standing
J.D. from an ABA accredited, prominent, national law school
Admitted to practice law before a state bar
Experience working with multinational companies and supporting business clients and legal teams in all geographic regions.
Strong negotiating and drafting skills
Excellent communication and organizational skills with the ability to assume independent responsibility
The ability to provide timely advice, exercise good judgment and work confidently with internal and external stakeholders and all levels of management
