Directs and oversees all legal activities and functions to ensure the organization’s compliance with applicable laws. Also serves essential functions within the Company.
Plans and directs all aspects of the company’s legal affairs including leading, directing and managing the interface with multiple outside legal firms.
Provides officers and directors with sound advice and guidance regarding issues of a legal nature faced by the corporation in the conduct of its business and reviews all contracting using outside counsel where necessary. Provides legal perspective to business strategy, deal structure and other business development opportunities.
Provides oversight to and ensures compliance with securities laws and including Nasdaq public company and listing requirements compliance.
Keeps informed with respect to developments in laws, rules and regulations affecting the corporation.
Reviews all communication materials, publications and press releases.
Responsible for board material and committee preparation and coordination of information required from other departments for meetings and responsible for drafting minutes.
Coordinates Board meeting agenda with Chairman and Lead Independent Director.
Coordinates legal assignments with outside legal counsel in the areas of contractual arrangements, intellectual property including patents and trademarks, securities matters and litigation, commercial litigation, employment law and with international legal counsel related to business development and ongoing contractual compliance of business arrangements.
Contributes to business strategy including patent protection, overall licensing / deal structure.
Coordinates the selection of specialist outside counsel and provides oversight and control of legal expenditures for outside counsel.
Works with all departments on developing and modifying policies and procedures to conform to legal requirements.
Assists in the negotiation and review of customer contracts as requested by CEO.
Background and Qualifications
Minimum 8-10 years of general corporate legal experience including several years of securities law experience, general legal experience and extensive contractual experience with a well established national or regional law firm.
Experience with business development, M&A or licensing transactions with such experience gained in the life science/pharma industry.
Possesses a breadth of business experience and acumen to contribute to the Company’s development, its ongoing daily operations and to assist the management and Board in the execution of their responsibilities.
Exposure to public companies and equity financing.
Prior experience as an internal general counsel preferred but not necessary.
Solid academic credentials including graduating from an accredited law school.
Familiarity with and experience with e-discovery process and techniques.
Excellent oral and written communication skills, including the ability to communicate detailed and complex information to others.
Strong organizational and time management skills, including the ability to organize self and others.
High level of accuracy, attention to detail, and excellent proofreading skills.
Ability to work effectively independently and within a team-oriented environment.
Ability to work well under pressure, in a fast-paced environment, including responding to urgent situations as needed, prioritizing multiple business objectives, and meeting deadlines and milestones for projects assigned.
Proficient in Microsoft Word, Excel, and PowerPoint, and working/communicating via e-mail.
Ability to work with a variety of people across cultures and geographic locations to deliver consistent and timely results.
