Reporting to E*TRADE Financial Corporation’s General Counsel, the Bank General Counsel will be responsible for providing advice and guidance to the Bank’s senior management on matters including bank products and services, investment activities, policies, procedures and regulatory expectations related to E*TRADE’s two wholly-owned thrift institutions.
Lead the E*TRADE Bank legal team.
Advise on legal and regulatory requirements applicable to all aspects of thrift and Savings & Loan Holding Company products, services and activities, with a significant focus on development of new products and services, bank investment activities and intercompany agreements.
Maintain current knowledge of applicable laws, rules, regulations and banking industry best practices applicable to thrift institutions and Savings & Loan Holding Companies.
Monitor legislative and regulatory developments; maintain an advanced awareness of industry trends and changes.
Interface with management to advise of emerging and changing regulatory risks and provide recommendations as needed.
Support the Bank Compliance team and the E*TRADE Risk organization on the development and maintenance of policies and procedures to ensure alignment with internal and external regulatory expectations.
Manage all federal, government and/or state applications for the Bank and its employees.
Assist in providing other legal services to the Bank, as needed including interacting with the Bank’s regulators.
Minimum of 10 years of legal experience advising banks; in-house experience for a large bank is a plus.
Experience in advising Federal Reserve and OCC regulated banking institutions.
Possess a comprehensive understanding of Federal banking laws and regulations, including primarily the Home Owners’ Loan Act, Bank Holding Company Act, OCC Regulations Parts 1, 5, 160, 163 and 167, and Federal Reserve Regulations W, Q, U, LL, VV, WW and YY.
Experience in complex contract drafting, negotiation, and administration.
Experience with trading agreements (including ISDA, MRA and MSFTA) and Bank and Broker-Dealer Sweep Deposit Program arrangements.
Strong management skills.
Excellent analytical, communication, interpersonal, organizational and training skills.
