Parker + Lynch Legal is seeking a talented commercial attorney to join the in-house legal team of a large international company in Marietta, GA. This position will be responsible for contract drafting and negotiation, corporate governance, transactional support, identifying and managing legal and business risks, and advising management with respect to legal disputes. The work requires cross-functional collaboration with strategic business units and functional groups within the global company.
Key Responsibilities: •Structure, draft and negotiate broad array of commercial agreements, including purchasing contracts, sales/supply agreement, IT/technology agreements, intercompany agreements (licenses, MSAs, transfer pricing), non-disclosure and development agreements •Execute corporate governance function for the Company and affiliates on a global basis •Ensure proper execution and recording of minutes, resolutions and consents •Provide due diligence and legal support for acquisitions, divestitures, refinancings and other transactional matters •Function as an integral member of litigation team, including close participation with management in formulating strategy in response to active litigation, claims and other disputes •Advise senior management team in connection with the identification, analysis and resolution of complex legal issues and commercial risks with a focus on practical problem solving •Provide legal advice to business units including the development of appropriate legal and compliance guidelines to execute the company’s business strategies
Qualifications: •Juris Doctor (J.D.), active member in good standing in at least one (1) State Bar •Prior large law firm experience highly preferred; prior in-house corporate experience is a plus •Minimum of three (3) years of sophisticated substantive experience handling complex transactions and counseling clients on complicated corporate and commercial issues •Demonstrated experience drafting and negotiating complex commercial agreements •Prior experience supporting corporate governance function, including experience preparing and maintaining corporate minute books •Exposure to international transactions a plus •Strong professional and academic background •Ability to demonstrate sound judgment in ambiguous situations •Excellent organizational skills, ability to manage multiple projects at once, follow through and meet deadlines •Excellent analytical and problem-solving skills with the ability to think creatively with a sense of urgency •Strong verbal and written communication skills •Superior drafting and negotiating ability •Ability to work independently •Risk management experience is a huge plus
