G&S has been engaged on an exclusive basis to assist a leading, on-line education partner for colleges and universities in its search to recruit a Junior Corporate Counsel. This attorney will be the sixth member of a dynamic, close-knit legal team which works hand-in-glove with business units across the company.
Primary Responsibilities : Drafting, negotiating and advising on commercial agreements with company vendors (e.g. IT, marketing and software vendors); providing strategic guidance if/when commercial disputes arise; reviewing and negotiating agreements related to the licensing or ownership of the company’s intellectual property; assisting with the drafting and review of lease agreements and other miscellaneous real estate matters.
Candidate Profile Sought : 2-5 years of legal experience in a law firm or corporate legal department focused on either technology or corporate transactions. Familiarity with intellectual property law matters is a plus. Strong drafting and negotiating skills are essential, as is the ability to juggle multiple projects and deals and to effectively close transactions on tight deadlines. Must be skilled at consensus building across groups, work effectively with all levels of management and staff, and demonstrate sound legal and business judgment.
