Princeton Legal Search Group has been retained on an exclusive basis to lead the search for the first ever General Counsel for a major non-profit organization in Philadelphia, Pennsylvania. Our client is a mission-driven global organization focused on improving world health and promoting quality health care.
Reporting directly to the President/CEO, the General Counsel will be a member of the executive leadership team and will be responsible for advising and assisting the CEO, other members of the executive leadership team, the senior leadership team and the Board of Trustees with all legal and regulatory matters across the enterprise to ensure compliance with applicable law and regulations. The broad range of responsibilities for this new role include counseling on transactional matters, negotiating and drafting contracts, providing legal counsel and guidance on trademarks, intellectual property and trade secrets, tax exempt status, real estate leases, policies, employment practices, insurance and risk management.
The General Counsel will be responsible for retaining outside counsel as appropriate, serving as the primary interface with outside counsel, and for overseeing the work of outside counsel. The General Counsel will also be responsible for managing outside litigation counsel with respect to legal actions taken for or against the organization.
A focus on corporate governance is another significant area of responsibility for this role. The General Counsel will advise and support the CEO and the Board of Trustees on governance issues, legal compliance, and Board policies so as to ensure that Board members are able to comply with their fiduciary responsibilities. The General Counsel will attend Board meetings and Board committee meetings on a regular basis.
Ensures that operations are in compliance with the laws and regulations applicable to non-profit corporations and in particular to any federal regulations including The Office of Foreign Assets Control (OFAC) of the US Department of Treasury that the organization and related entities must adhere to
Establishes a process that regularly evaluates the position of the organization in regards to legal risk and compliance and makes recommendations regarding mitigation
In partnership with the organization’s CFO, reviews forms 990 and advises on internal controls, policies and procedures related to IRS requirements and other exempt status practices
Reviews insurance coverages, including disclosures and applications to ensure the scope of coverage is appropriate for the organization’s business activities, with specific focus on coverage for new business activities
Asserted and Unasserted Claims and Litigation
Examines facts associated with asserted and potential claims and recommends the optimal legal course in response. Makes recommendations on the use of outside counsel
Manages the organization’s relationships with outside counsel, including legal expenses and review and approval of invoices
Responds to legal claims and inquiries and determines an appropriate response in consultation with the CEO. Manages the day-to-day case management of all legal claims and litigation, partnering with the appropriate senior and executive leadership team members
Oversees litigation and coordinates the activities of outside counsel
Ensures proper notice to insurance carriers in the event of claims or litigation and partners with insurance brokers to appropriately manage claims and litigation, including potential future exposure and costs
Advise and Assist the CEO and Board in Legal Matters
Is a member of the executive leadership team
Provides high quality legal advice on all matters that affect or potentially affect the organization and/or the performance of its business and employment activities, including contemplated actions
Acts in a proactive manner in resolving legal issues emphasizing solutions rather than the identification of problems
Responds to legal inquiries from regulatory agencies
Interprets laws, rulings, and regulations for the organization’s leadership
Reviews and approves legal documents
Reviews and provides legal advice on employment, IT and other policies and practices
Monitors and advises on situations presenting possible legal risk to the organization’s operations
Drafts and/or reviews agreements with external organizations
Negotiates the legal terms, in coordination with executive leadership, of significant agreements which the organization proposes to enter
Provides final legal sign-off on contracts
Maintains a repository of all legal documentation
Board of Trustees Governance
Attends and provides legal support to the Board and its Committees
Provides advice to the Board and renders interpretations as appropriate concerning bylaws and amendment to bylaws
Provides advice to the Board and committees on legal matters pertinent to the organization and on contemplated actions
Candidates must have a JD from an accredited law school and a strong academic record. You must be admitted to the Pennsylvania Bar or be eligible for and secure a Limited In-House Corporate Counsel License pursuant to Rule 302 of the Pennsylvania Board of Bar Examiners. Candidates should have a minimum of 8-10 years of relevant and applicable experience with a strong preference for prior in house experience. Prior experience working for a non-profit organization is desirable. Significant experience with legal issues impacting non-profit/tax exempt organizations is preferred. Experience with legal issues affecting graduate medical education is a plus. A strong candidate for the role of General Counsel will have the following skills and abilities:
