The Legal Department functions as a business partner to the global organization, supporting strategic initiatives by advising on business terms, by creatively problem solving business and legal issues, and by striving to minimize legal risks. The Legal Department’s door is always open to be a problem solver for anyone who needs business or legal guidance within the organization and as such the role is more than being a lawyer focusing only on legal issues. The role involves guiding the business toward its goals while mitigating legal risks.
We are seeking a highly-motivated energetic hard working attorney to become a member of a small legal department. New Era offers a fast-paced, exciting legal environment that requires top-level legal counsel, excellent risk management and mitigation skills and an ability to offer counsel on a variety of business issues as well as legal issues. Each attorney is expected to quickly learn the business and understand the intricacies of the New Era global organization to thus be able to provide counsel on any business or legal matter that arises. The Corporate Counsel will be working on complex domestic and international legal issues requiring in-depth business knowledge, excellent business sense and judgment, analytical business and legal problem solving, and a solid knowledge in general contract, corporate, operational, intellectual property and commercial matters.
The role of the Corporate Counsel is to support New Era’s General Counsel, Deputy General Counsel and Senior Legal Counsel as well as New Era’s domestic and international business teams. The Corporate Counsel will provide this support for New Era’s US offices and all offices internationally and shall act as the international contact for day to day matters for Europe, Middle East, Japan and Korea.
The role of the Corporate Counsel will report to the Vice President of Global Legal / General Counsel, and will support New Era’s General Counsel, Deputy General Counsel, Senior Legal Counsel and Corporate Counsel, as well as New Era’s domestic business teams functioning both as part of a team and in a matrix organization.
* Advise and update General Counsel, Deputy General Counsel and Senior Legal Counsel as well as internal clients (including upper management as needed) on contract status, legal risks and business terms of various deals * Negotiate, draft, review, advise and manage marketing and entertainment agreements, endorsement agreements with athletes and celebrities, sponsorship agreements, agency agreements, events, contests, collaboration agreements, custom cap orders and review marketing content * Negotiate, draft, review and advise on general business contracts, license agreements, confidentiality agreements, international distribution agreements, manufacturing agreements, and other business contracts as well as warehousing, shipping, transportation and operational contracts * Provide assistance with real estate lease agreements, retail store license and franchise agreements as well as other global joint ventures, strategic partnership deals, bank agreements, and mergers and acquisitions through performance of due diligence and advising on integration strategies * Review, process and coordinate terms and conditions in vendor compliance agreements and service agreements * Support General Counsel with ongoing litigation and related discovery responses * Support General Counsel, Deputy General Counsel, Senior Legal Counsel and Director of Tax in various corporate matters including obtaining corporate dividends, and drafting intercompany agreements and loan agreements * Support the Company’s leadership in regulatory compliance, compliance with the Foreign Corrupt Practices Act, UK Bribery Act, Office of Foreign Assets Control and the European Union General Data Protection Regulation, as well as New Era’s purchase order process, and record retention process * Interact, advise and counsel internal business clients on legal and business matters including customs issues, collections matters, customer service issues and other general business matters as well as all day-to-day legal issues that arise * Serve as the primary point of contact on day-to-day matters for Europe, Middle East, Korea and Japan elevating more significant matters to the General Counsel or Deputy General Counsel * Interact with outside law firms as necessary * Ensure consistency of business and legal objectives in all contracts * Ensure high-quality legal analysis and business advice to internal business clients * Assist in research and review of legal issues impacting headwear designs * Research unique legal issues impacting the organization by identifying applicable statutes, judicial decisions and codes * Coordinate other legal issues and responsibilities as directed * Facilitate cross-functional interaction with employees at all levels * Perform each of the above responsibilities domestically for our Buffalo, Chicago, NYC, Miami and Irvine offices and internationally for our divisions in Europe, Middle East, Hong Kong, China, Brazil, Australia, Japan, Korea, Mexico and New Zealand.
Knowledge, Skills, Abilities and Behaviors
* A general knowledge of likeness and image rights and intellectual property rights as they relate to marketing and licensing is a necessity * Must have strong interpersonal skills and the ability to build and maintain relationships at all levels of the organization * Excellent business sense and ability to counsel management on legal and business matters independently * Strong academic background and a demonstrated record of accomplishments and achievements * Superior contract drafting, reviewing and negotiation skills * Knowledge of legal compliance involving general business law * Strong research, administrative, writing, analytical and reporting skills * Project management skills and ability to multi-task with and handle a high volume of projects simultaneously while meeting demanding deadlines * Excellent organizational skills * Proficient in MS Office suite – Outlook, Word, Excel & PowerPoint * International/cross-border experience a plus * Ability to work both independently and collaboratively in a collegial fast-paced high energy environment * Demonstrated ability to serve as a trusted legal and business advisor to General Counsel, Deputy General Counsel, Senior Legal Counsel, Paralegals and business teams * Strong business acumen and business savvy * Sound judgment and a hands-on reasonable and practical approach to the law * Natural ability to use creativity and a practical approach to complex situations * Self-starting, mature, focused, confident, resilient and resourceful * Demonstrated ability to manage highly confidential information
Education and Experience
* Minimum of 7 years of practical law firm experience with client contact and prior in-house corporate experience * Experience working successfully in a rapidly growing fast paced environment * Undergraduate and JD Degree required * Active Member of New York State Bar in good standing
