G&S has been engaged on an exclusive basis to assist a leading, on-line education partner for colleges and universities in its search to recruit a Senior Corporate Counsel to focus on securities, acquisitions and corporate governance. The attorney in this newly created role will report directly to the General Counsel and will become a member of a dynamic, growing and closely-knit legal team that works in partnership with business units across the company.
Primary Responsibilities: Assisting in the preparation of current and periodic reports to the SEC (Forms 10-K, 10-Q, and 8-K); preparing, reviewing and advising on Section 16 reporting, compliance and disclosure; preparation of proxy statements; advising on investor relations issues; drafting shareholder and board resolutions, consents, agendas, stock certificates, etc.; drafting and negotiating asset and stock purchase agreements and other agreements related to business acquisitions; and supporting the General Counsel in overseeing securities offerings, mergers and acquisitions, corporate finance matters and due diligence in connection to corporate transactions.
Candidate Profile Sought: 7-10 years of securities experience gained in an AmLaw 100 firm or a combination of current in-house experience and prior law firm training in corporate securities. Must have significant knowledge of SEC ’34 reporting obligations and compliance, as well as experience running M&A deals. The ability to prioritize multiple projects is essential, as is the ability to provide effective legal advice that integrates legal risk with the company’s business objectives and leverage. Must be skilled at consensus building across groups, work effectively with all levels of management and staff, and demonstrate sound legal and business judgment.
