This role will requires candidate to work closely with the business to advise on a broad range of commercial issues with particular emphasis on drafting and negotiation of commercial contracts, while advising the business on legal and commercial risks.
Candidates will be responsible for drafting and negotiating complex software-as-a-service and consulting services agreements in support of the company's sales teams in the Americas. Candidates will also draft and negotiate non-disclosure agreements, in-bound license agreements and vendor agreements on an as needed basis.
The Corporate Counsel will also team with business clients in contract negotiations, and will be empowered to recommend and implement appropriate positions in contracts within the company's guidelines in line with the responsibility to protect the business at all times. The hire will also have an opportunity to expand their skill set by assisting in open source licensing matters, corporate governance and HR matters on an as-needed basis.
In short, this hire will be asked to apply business acumen along with legal skills to identify issues, develop and analyze alternative solutions, make recommendations and implement solutions.
Must be an attorney admitted to the State Bar of New York or New Jersey with a strong commercial and transactional contracts background and six to eight years of experience working at a law firm and/or in-house;
Must be a creative, highly-organized, motivated, detail-oriented team player, who is able to multi-task and manage often conflicting priorities;
Must be confident working autonomously, as well as in teams, and have the ability to work competently with both internal and external stakeholders.
Prior insurance industry experience, experience with a software company or cloud computing company drafting and negotiating customer-facing agreements is a very strong plus.
Prior experience working in-house supporting a sales team is highly desirable.
Experience with corporate law, cloud computing or European Data Protection Law is also a plus.
