Cvent, Inc. is seeking an experienced Contracts Manager/Counsel to work in our Tysons Corner, VA Headquarters. Primary responsibilities include preparing and negotiating software license and service agreements in support of the sales organization, and performing similar work with respect to vendor and service provider agreements for the procurement, technology and other business departments. This will necessitate working closely with Sales, IT, Procurement, Finance and Customer Service.
The position will report to the Associate General Counsel - Commercial & Intellectual Property within the Legal department; however, this individual will be expected to bring a high degree of contracts expertise to the position, and to rely on that expertise along with sound judgment and professionalism to operate independently.
What You Will Be Doing
Draft and negotiate software license agreements, statements of work, professional services agreements, contract addenda, and service provider contracts
Analyze, provide redlined recommendations, and provide input into the preparation and revision of contracts and subcontracts to ensure customer and corporate objectives are met.
Ability to lead a negotiation, understanding how to balance key risks and opportunities in order to obtain a mutually acceptable contract in a way that will not alienate customers.
Review RFPs and RFQs, offering appropriate alternatives to contract terms and conditions
Advise sales management of contractual rights and obligations and provide clarification of contract terms and conditions
Interpret contract policies, operating practices, and performance standards within the Contracts Team
Support the Account Management, Billing and Legal personnel as necessary to:
Manage contract renewal process and prepare improvements for same
Track and send contractually required notices/reports
Track all contractually required product enhancements and service level requirements
Support collections (e.g., investigate bankruptcy claims, prepare release forms)
Maintain contracts and related legal documents and records
All other duties as assigned
Bachelor's degree required; JD preferred.
Minimum 5 years experience in software and services contract management/negotiation in a high tech organization. SaaS experience is required
Demonstrated negotiation skils
Proven analytical and written verbal communication skills
Self-starter who understands executing with urgency, and the ability to comfortably work in an intensely deadline-oriented environment. Accuracy and attention to detail are essential requirements for this position.
Strong multitasking skills to be able to move and track multiple projects to completion
Strong interpersonal and organizational skills and able to work well with a team
Working knowledge and experience with software and hardware issues, and legal concepts regarding software contracts and licensing such as Limitations of Liability, Indemnification, Warranties, Termination, Data Security, and Confidentiality
Trustworthy; demonstrated experience working with confidential documents and situations
