The Associate General Counsel position requires a highly motivated, independent problem-solver with excellent analytic and communication skills. It operates as an integral part of a dynamic legal department. Reporting to the SVP General Counsel & Chief Ethics Officer, this position provides a wide range of legal services and advice to Saltchuk Resources particularly in the corporate area.
Provide first-line legal support for contracts to which Saltchuk is a party. Draft, review, and revise other contracts and policies as needed.
Support Saltchuk companies that do not have their own in-house counsel (currently, Carlile Transportation, Shoreside Logistics and Northern Aviation Services).
Support commercial projects, including multi-company projects within the Saltchuk family of companies.
Support Saltchuk’s acquisition or sale activity, including overseeing outside counsel, participating in M&A activity including legal due diligence and integration activities.
Provide legal support for Saltchuk’s financing and treasury activities.
Provide legal support for corporate governance and shareholder related legal activities.
Together with the SVP, General Counsel & Chief Ethics Officer and Legal Coordinator/Paralegal:
Monitor claims against Saltchuk companies that are (a) of at least $1 million net of insurance and/or involve exposure to specified critical negative impact events identified as part of the Saltchuk enterprise risk management program.
Advise Saltchuk regarding applicable laws, regulations, and regulatory schemes.
Enhance the quality and cost effectiveness of legal services provided to Saltchuk and, as appropriate, to Saltchuk’s operating companies. Pursue more cost effective relationships with outside counsel, including exploration of value-based and fixed fee structures. Develop metrics and tools to evaluate cost effectiveness. Regularly solicit input from Saltchuk employees on performance and provide evaluations and input back to outside counsel.
Identify and pursue opportunities to improve processes through use of legal work tools (e.g., Serengeti) and otherwise.
Manage vendor relationships.
Provide assistance to the General Counsels of Saltchuk’s Business Units.
Undertake special projects -- such as developing and helping implement an information governance framework and policies, including records management.
Support other Saltchuk programs that report to the General Counsel & Chief Ethics Officer, including risk management and government affairs.
Work with the in-house counsel of Saltchuk companies to build strong and highly effective teams and to develop strategic approaches to issues that may affect more than one Saltchuk company.
Serve as Saltchuk Resources Inc.’s Compliance Officer, including for the purposes outlined in Saltchuk’s Code of Ethical Business Conduct.
Actively participate in and support Saltchuk’s enterprise risk management program.
Supervise the Paralegal/Legal Coordinator when he/she is assisting in business, commercial and corporate areas.
Experience and Skills
At least six years practicing law, preferably including in-house experience.
Significant experience in most of the legal areas of responsibility outlined in this job description.
Stellar academic and professional record.
Exceptional written and verbal communication skills.
Demonstrated ability to use legal and business knowledge, innovative thinking, and sound judgment to solve problems and pursue opportunities for improvement.
A leader and team player who puts the organization first.
Member of Washington State bar.
