The senior counsel is responsible for providing general corporate legal analysis, as well as leading complex business transactions. The senior counsel advises senior management on tactical legal and compliance initiatives, manages the Creehan legal function, and obtains and oversees the work of local outside counsel, as appropriate.
Participates in the definition and development of corporate policies, procedures and programs and provides continuing counsel and guidance on legal matters and on legal implications of all matters.
Serves as key lawyer/legal advisor on all major business transactions, including drafting, reviewing, and negotiating business critical contracts;
Serve as the Privacy and Security Liaison for the Creehan Business to L&C;
Work cross-functionally with sales, finance, and operations teams to ensure that contractual terms are compliant with legal, regulatory, and company policies and risk preferences;
Establish trusted advisor relationships with the business leadership team and the sales leadership team;
Perform legal and regulatory research in support of business initiatives;
Oversee the selection, retention, management and evaluation of all local outside counsel;
Advise, support, and consult with L&C regarding any Creehan Business human resources and immigration matters;
Participate in the definition and development of Creehan Business corporate policies, procedures and programs and provide continuing counsel and guidance on legal matters and on legal implications of matters.
Champion and implement L&C policies and procedures within the Creehan Business.
Serve as key lawyer/legal advisor on major Creehan Business transactions, including acquisitions, divestitures, strategic endeavors and joint ventures.
Support L&C with respect to any litigation or disputes involving the Creehan Business.
Ensure that Creehan Business conducts its business in compliance with applicable laws and regulations and applicable Creehan Business and Employer policies.
Manage the outside counsel budget for the Creehan Business and oversee the selection, retention, management and evaluation of all outside counsel for Creehan Business.
Organize and lead Regulatory Client Board meetings while maintaining Creehan Business’ interests.
Maintain a positive working relationship with client leadership and legal representatives; and
Take on additional assignments and responsibilities of Employer as needed.
SPECIFIC EDUCATIONAL/VOCATIONAL REQUIREMENTS:
Requires a juris doctorate degree from an ABA accredited law school.
Must be a member of and in good standing with the Pennsylvania bar.
8+ years of legal experience required.
3+ years of legal experience representing IT firms required.
Excellent operational, project management, change management, analytical ability, writing skills, listening and oral communications skills, diplomacy, finesse and interpersonal skills, and well developed, excellent
Strong business judgment and skill in determining when to be appropriately assertive or adversarial, when to be deferential or conciliatory, in garnering consensus, and in distinguishing between high and low priority legal issues.
Training and marked accomplishment in an excellent private law firm or in the law office of, or representing, a large university or tax-exempt organization are helpful, as is experience in or representing the public sector.
A deep and sophisticated level of substantive expertise in the primary areas relevant to transactions for, and on behalf of, a technology company, specialty pharmacies, pharmacy benefits managers and pharmaceutical manufacturers and other entities for which this position is responsible is required. The ability to support good management, efficient and effective operations, and appropriate change are critical.
