What we are seeking: Job Title: Associate Counsel
The Associate Counsel (AC) supports the General Counsel by providing primary commercial contracting support for StayWell’s business units, including negotiating and drafting content license agreements, wellness program services agreements, confidentiality agreements, vendor contracts. The Associate Counsel provides regulatory and compliance counseling, training and other legal support through on-site and remote collaboration with management, sales/business development and operations staff across business units in the interest of providing thoughtful, sound, prudent and effective legal advice on varied business matters. The Associate Counsel interacts daily with the Sales, Sales Support, Information Security and Finance teams, and interacts with clients and suppliers and their related counsel.
Is this you: Essential Duties and Responsibilities include the following, and other duties may be assigned. Primary point of contact to negotiate, finalize, execute and deliver client and supplier agreements and RFPs. Oversee contract management. Support General Counsel with Corporate Secretary duties, including preparing meeting materials and minutes for the Board of Directors. Manage outside counsel. Assist General Counsel in overseeing workflow for Legal Department, including Senior Paralegal. Oversee IP docket in conjunction with outside counsel and Senior Paralegal. Create trainings and tools to drive compliance with applicable laws and regulations and company policies and procedures.
Education and/or Experience Bachelor’s degree and JD (from an ABA-approved institution) is required. Two (2) or more years of experience and/or training at a top-tier law firm are required for this position including transactional experience. Particular experience in health IT, privacy/security, benefits, IP or corporate preferred. In-house experience preferred. These requirements may be substituted for an equivalent combination of education and experience where applicable. Must be a self-starter, motivated, reliable and willing to work independently. A focus on client service is key, as is a sense of humor. Strategic thinking and project management skills a plus.
Position located in StayWell’s headquarters in Yardley, PA. Some travel may be required.
