Work on a full range of corporate transactions, e.g. mergers, acquisitions, joint ventures, corporate financing. Reviews drafts, revises and negotiates agreements with customers, vendors, shippers and other third parties, on commercial documents, such as service agreements, software and intellectual property licenses, and partnership and joint venture agreements. Responds to inquiries from in-house clients on matters relating to commercial transactions. Works with outside counsel as needed.

Essential Functions & Responsibilities
Review, draft and negotiate broad range of commercial contracts, ensuring that they are in compliance with legal, regulatory, and organization policy (25%);
Provide legal advice and counsel to in-house clients on matters relating to commercial transactions and coordinate with other areas of the enterprise (25%)
Work collaboratively from project initiation with internal and external counsel, consultants, and business unit staff on project assignments. (25%)
Follow effective processes to ensure that corporate transactions are conducted in a manner that accomplishes enterprise commercial goals while mitigating potential risk exposure, including monitoring the contract process to assure compliance with the organization’s contractual guidelines, satisfaction of customer specifications, and adherence to organization policy (10%);
Collaborate with and manage outside counsel (10%);
Conduct due diligence investigations as necessary (5%);

Education Juris Doctor from an accredited law school
Experience 8 years transaction legal experience with a concentration in commercial corporate transactions Certification & Licensure Membership in the State Bar Association as an attorney qualified to practice law in Georgia
