Firm Advice is conducting an exclusive search on behalf of a premier government and commercial provider of manned and unmanned aviation for a Senior Counsel. The successful candidate must share the company’s passion, commitment to service, dedication to customers, and culture of compliance. Company is located in Northern Virginia.
As the second attorney in this newly created position for this rapidly growing company, the Senior Counsel will have a broad range of diverse responsibilities. The selected individual will serve as the designated point of contact on corporate legal issues and corporate governance, and will coordinate with the Director of Compliance on export control/trade compliance, Foreign Corrupt Practices Act (FCPA), and business ethics. This position offers an excellent opportunity to broaden the breadth and depth of experience, to include virtually all legal areas.
The position will report to the General Counsel. Compensation consists of competitive base salary, bonus and generous benefits.
Duties and Responsibilities:
Government and Commercial Contracts: Provide guidance to Contracts Department on government contracts, including the RFP process, and ensure compliance with existing government contracts; review, negotiate, and manage all types of commercial contracts.
Export & Corporate Compliance – Support the Director of Compliance on the following: Develop, implement, maintain, and ensure compliance with robust compliance programs, including export control, FCPA and ethics, and corporate; prepare, submit, and track export license and other authorization requests to relevant Departments and prepare and submit Electronic Export Information to the Department of Commerce.
Corporate Governance: Work with Corporate Secretary to accomplish all Corporate Secretary functions, including preparation and review of agenda and meeting minutes for Board and associated committee meetings, assist with preparation of Board briefings, consent documents and other corporate governance documents; draft and maintain governance documents for subsidiary corporations; and assist with interactions with private equity partners.
Mergers and Acquisitions: Assist with corporate financing, investment, capitalization, and equity issues and documentation; assist in managing outside counsel relating to mergers and acquisitions, international operations in foreign countries and expansion to new foreign markets; and provide counsel on post-transaction integration.
Other Responsibilities: Selected individual will work with HR and Finance departments, keep senior management updated on legal and business issues, and work with/manage outside counsel in multiple legal areas.
Skills and Experiences Required:
JD and member of at least one US bar and eligible to work in Virginia as a Corporate Counsel required;
Minimum 4 years’ experience as a practicing attorney, at least 2 of which was as in-house counsel in the Aerospace and/or Defense sectors required;
Strong knowledge of the Federal Acquisition Regulations (FAR) required;
Strong contract analysis, negotiation and drafting skills with experience in key provisions of most types of contracts required;
Familiarity with export compliance regulations preferred;
Ability to work at both detail and strategic levels; work calmly under pressure with competing priorities and display sound judgment;
Must be a self-starter with excellent verbal and written communication and analytical skills;
Must have proactive manner and enthusiasm and able to interface effectively and positively with multiple departments and interests; and
Proficient in Microsoft Office (Word, Excel, and PowerPoint).
Must be eligible to obtain a U.S. Government security clearance.
