The General Counsel is the primary legal advisor and legal strategist to the Chief Executive Officer, Executive Team and the Board of Trustees. This position is responsible for overseeing Legal and Internal Audit functions and all of the associated responsibilities. Reporting to the Chief Executive Officer, the General Counsel operates equally between day to day transactional counsel with internal clients as well as interacting with senior management colleagues on a broad spectrum of internal functions, including finance, human resources, marketing, communication and operations, and mission engagement and philanthropy. The incumbent will provide counsel and advice regarding Strada’s merger and acquisition transactions, corporate governance, employment matters, administrative policies, intellectual property matters, dispute resolution support and strategy and regulatory compliance issues. This position also manages the Corporate Secretary functions including the maintenance of corporate records relating to Board and executive matters.
Legal Department Management. Responsible for the Legal Department staff and their subsequent responsibilities including trademark administration, litigation, contract administration and interpretation, corporate registrations, managing intercompany transactions, development of company benefits plan documents, and employment law.
Chief Legal Counsel. The General Counsel will serve as the chief counsel for all corporate legal matters such as finance, human resources, operations, marking and communications, and mission engagement and philanthropy. Will work closely with individual attorneys assigned to each corporate group to ensure the best possible outcomes. Also supports each of the operating companies with regular outreach to the individual company’s lead counsel.
Mergers and Acquisitions. As a member of the Executive Team, the GC is responsible for legal due diligence, drafting of transaction agreements, and the comprehensive strategic opinion for proper fit into the Strada portfolio.
Internal Audit. Responsibility for Internal Audit, which assists senior management, company trustees and audit committee members to accomplish organizational objectives by performing independent, objective assurance assessments and consulting activities designed to provide reasonable assurance of control effectiveness and to add value by helping to improve the operations of the organization.
Education and Experience:
10 plus years’ general corporate legal experience, including significant experience in transactional matters.
Juris Doctor (JD) degree from an ABA accredited nationally-recognized law school with superior academic credentials and have active membership in good standing in at least one state bar association.
Experience working for holding companies/multi-tiered corporate structures with significant merger and acquisition activities leading to managing individual operating companies. Non-profit sector experience preferred.
Experience in trademark administration, litigation, contract administration and interpretation, corporate registrations, managing intercompany transactions, development of company benefits plan documents, and employment law.
Experience in managing outside counsel regarding a variety of matters is critical.
Experience working directly for Board of Directors or Board of Trustees and experience as a Corporate Secretary preferred.
