Day to day responsibility for the provision of legal services and advice and ensuring the coordinated management of legal and compliance risks across the North American operations of New Markets businesses, including Medical Components, Water, Battery Materials and Catalysis & Chiral Technologies (“Businesses”).
Proactively engaging with the Businesses in North America to manage legal and compliance risk and lead legal aspects of major multi-disciplinary projects.
Understanding the strategic objectives of the Businesses in order to provide a high quality, pragmatic and focused legal service to the various businesses functions, including the procurement, operations, quality, technology, supply chain, sales and marketing teams.
Drafting and negotiating a variety of legal documents and commercial contracts. This ranges from standard terms to custom agreements. Examples include sale/purchase agreements, joint development agreements, consultancy agreements, confidentiality agreements, and agency and distribution agreements. Ensure all aspects of such commercial arrangements are covered.
Assisting with a wide range of improvement projects within the legal team and within the sector.
Work closely with the Senior Legal Advisor-New Markets and General Counsel, North America in a matrix reporting structure to ensure regional and global consistency in legal and compliance risk management.
Manage specialist legal services provided by external firms in North America, such as non-US advice and real property law, settling budgets for advice presented by these firms and managing that legal spend. Provide, manage or coordinate (as appropriate) advice to the Businesses in respect of specialist legal services provided by internal and external lawyers, such as medical device regulation, intellectual property, employment, environmental law and litigation working closely with the Intellectual Property function, the Assistant General Counsel-Employment NA and the Assistant General Counsel-Litigation and Environmental NA.
Provide, manage or coordinate (as appropriate) advice to the Businesses in respect of regulatory compliance, in particular with regard to the Medical Components Business.
Provide, manage or coordinate (as appropriate) advice to the Businesses in respect of ethical and compliance matters, working closely with Group Ethics and Compliance.
Promote JM’s Code of Ethics within the Businesses and an approach to doing business that reflects JM’s commitment to doing business ethically, in accordance with its values.
Carry out risk assessments within the Businesses to identify, and assess materiality of JM’s exposure to contractual and legal compliance risks.
Ensure a wide range of legal and compliance training is provided to the Businesses.
Work with business partners of various levels of legal and business sophistication.
Take on any other duties that are within the employee’s skills and abilities whenever reasonably instructed.
Regularly collaborate with individuals at all levels of the organization, including senior management and international colleagues.
Require a collaborative approach with other Group functions, including Ethics & Compliance, EHS, Tax, Internal Audit, HR, Treasury/Risk/Credit.
Require collaboration with company intellectual property lawyers as well as other members of the global divisional legal team.
Require a commitment to promoting a positive culture of legal compliance and ethics.
Require the ability to work without close supervision while communicating key activities to the Senior Legal Advisor – New Markets, the General Counsel, NA and senior management.
Require a creative approach to the delivery of legal services.
Over 5 years broad commercial and corporate experience gained either in a leading firm or in industry.
Experience of working in entrepreneurial environment
Experience of working across multiple business units simultaneously
Experience in advising regarding medical device or other FDA regulation
Experience of working in an international environment
Experience of dealing hands on with compliance matters
