Corporate generalist with a transactional focus. Under general supervision of the Chief Legal Officer prepares legal research, reviews and drafts corporate transactional documents, provides legal advice and counsel to SourceAmerica management officials and manages daily operations of the Department. May represent the Organization or its officials in various proceedings.
Hands-on transactional experience in Federal government contracting and commercial contracting.
Conduct legal research.
Draft and lead corporate training on legal and Federal government contracts management topics.
Draft and review corporate contracts, real estate leases and various other vendor or licensing agreements.
Coordinate, manage and deliver timely responses and reports to inquiries from SourceAmerica management and/or Chief Legal Officer.
Draft, edit and finalize briefs, memoranda, reports, legal opinions, correspondence and other documents involving Federal government contract procurement issues and/or the employment of people with disabilities.
May represent the organization before state and federal courts and administrative agencies.
Prepare legal opinions on impact of relevant current and proposed legislation.
Attend staff meetings, conferences and board meetings as required.
Assist in oversight and management of outside counsel.
Conduct internal investigations and prepare findings.
Coordinate with Director, Ethics and Compliance to develop, enhance, maintain and implement the corporate compliance plan and standards.
Assist in the review of all new policies/procedures and general practices to ensure that they meet legal, ethical and compliance standards.
Perform additional duties and participate in special projects as assigned.
D. from an accredited law school and a minimum of 2-5 years work experience as an Attorney with a firm, agency or as in-house counsel
Member of VA, MD or DC Bar
2-4 years Federal government contracting experience
Experience in a regulated and complex legal and compliance environment
Proven ability to create, compose and edit legal opinions and other written materials
Must be detail-oriented and have excellent organizational skills
Must be proficient in computer-assisted legal research, Word and Excel
Strong interpersonal and communication skills and the ability to work effectively with a wide range of constituencies in a diverse community
Ability to maintain confidentiality
Government contracts experience coupled with solid complex commercial contracts
Additional experience in litigation, regulatory compliance, and/or employment is highly desirable
Experience with litigation and e-discovery
General non-profit experience a plus
Construction law experience a plus
Intellectual property law experience a plus
Some travel required
